About The Role
As a core member of the Executive Leadership Team, the Chief Legal Officer will actively demonstrate Foodsmart’s mission, vision, and values and advocate for the company’s culture. They will be a forward-looking, roll-up sleeves, hardworking, and trustworthy leader with the ability to transition seamlessly between daily legal operations and broader strategic business issues. The General Counsel will play a critical role in driving Foodsmart’s legal and regulatory strategy, with a specific emphasis on scaling the business in Government Sponsored Health Plans businesses. This leader will bring expertise in Medicaid & Medicare regulations and compliance, guiding the company through complex regulatory landscapes and ensuring alignment with both national and state-level agencies. The General Counsel will be a strategic partner to the CEO and the Executive Leadership Team, providing counsel on a wide range of legal and compliance matters. This role will also be pivotal in shaping the company’s government relations strategy, building and maintaining relationships with key stakeholders across state and national agencies that influence policy and enforcement.

The Chief Legal Officer must be a pragmatic, roll-up-the-sleeves, business-oriented lawyer of high intellect and demonstrated technical legal expertise; a lawyer who keeps pace with the demands of a rapidly changing, entrepreneurial business by anticipating problems and proffering appropriate and creative solutions. They must be able to counsel management on complex legal and regulatory issues, clearly and accurately identify the material legal matters, and articulate a corresponding solution logically, rationally, and convincingly. They must be a lawyer who can assess legal risk in difficult situations, including matters where time is critical or matters of significant materiality to a company. They will have demonstrated strategic perspective and experience contributing meaningfully to a company's strategic decisions while working to keep the legal strategy aligned with company objectives.

Key Responsibilities
Serve as a core member of the Executive Leadership Team and trusted advisor to the company's Chief Executive Officer and Board of Directors, providing counsel on issues of overarching importance to the company, advising on current and future risks, and assisting in setting and implementing the overall strategic direction of the company.Drive the company’s Medicaid/Medicare strategy by leveraging experience and insights from both federal (e.g., CMS, HHS), state and corporate experience. Provide counsel on compliance with healthcare regulations such as HIPAA, MACRA, and value-based care initiatives. Lead government relations efforts, focusing on influencing healthcare policy and regulatory enforcement at both the national and state levels. Build and maintain relationships with CMS, state Medicaid agencies, and other regulatory bodies. Advocate for company interests with legislative and regulatory bodies, and ensure the company’s voice is heard in policy-making discussions.Oversee the company’s compliance program, including areas such as HIPAA, fraud and abuse prevention, Stark Law compliance, and Anti-Kickback Statute adherence. Ensure that the company is prepared for audits and regulatory reviews, and that all compliance practices are up-to-date with evolving regulations.Take a leadership role in managed care negotiations, fee-for-service and value-based contracting, shared savings and ACO initiatives, population health activities, network creation, payer-provider joint ventures, and related regulatory compliance issues.Advise the company on the litigation risks of business decisions, provide preventive counseling regarding the legal risks associated with business practices, develop strategies with both inside and outside counsel in response to litigation and regulatory inquiries and cost-effectively manage the resources required to address those matters.Oversee and participate in the negotiation, drafting, and implementation of a wide variety of complex commercial agreements in a healthcare context related to, among other things, mergers and acquisitions, strategic alliances and joint ventures, payer contracts, information technology, and innovation development and investment.Apply modern mindset in terms of leveraging to the fullest contract management systems and AI for content development and QA. Committed to the use of templates and integration of contract management systems with the Company’s other key finance, CRM and project management systems. Develop, lead, and manage a legal department; build a fit-for-purpose legal function and foster a culture of transparency, inclusion, and alignment so that the legal team is viewed as a trusted, agile, and value-added business partner; budget for, select, and manage outside counsel.Oversee all legal matters, including corporate governance, commercial transactions, and litigation, ensuring alignment with Foodsmart’s strategic goals.
Experience And Qualifications
15+ years of legal experience, with significant time spent in the healthcare industry, focusing on Medicaid/Medicare regulations. Ideally, this includes a combination of federal experience (e.g., within HHS, DOJ, CMS) and in-house legal experience with a healthcare organization or law firm.Business minded lawyer, someone who understands the impact and financial goals of the Company, and supports the management team enables the holistic strategy for the business. The GC will find solutions for problems versus just creating roadblocks, and will consider the cost-effectiveness of legal decisions and actions on the business. Deep understanding of the regulatory landscape for government-sponsored health plans, with a track record of successfully navigating compliance and legal challenges and will understand applicable healthcare regulatory requirements and laws (e.g., Stark, anti-kickback, fraud and abuse, tax exemption, etc.). Experience and/or acumen in government relations, particularly in engaging with state and national agencies that influence healthcare policy, as well as navigating legislative processes that impact Medicaid/Medicare.Demonstrated ability to lead and develop high-performing legal and compliance teams.Strong business acumen with the ability to align legal strategies with broader business objectives.

Base Salary Range: $300,000/yr to $315,000/yr + equity + benefits
Our salary ranges are determined by role, level, and location. The range displayed on each job posting reflects the minimum and maximum target for new hire salaries at our headquarters in San Francisco, California. Individual pay is determined by work location, job-related skills, experience, and relevant education or training.
