Sr. Associate Corporate Counsel

Position Overview:

We are seeking an experienced and motivated Procurement Attorney to join our Legal team at Genesys. The successful candidate will be responsible for providing legal support and guidance on a wide range of procurement activities, including setting policies, and negotiating and drafting contracts with suppliers, vendors, and service providers. The Procurement Attorney will work closely with the executive sponsors, Procurement, Security, AI, Privacy and Compliance teams to ensure that our procurement processes comply with applicable laws, regulations, and company policies and that our contracts with vendors align with company legal positions on vendor agreements and risk tolerance. Additionally, this role will require significant experience with contract management and legal operations to enhance efficiency and consistency in the company's legal and procurement processes.

Key Responsibilities:

Draft, review, and negotiate a wide variety of procurement agreements, including but not limited to leases, outsourcing, alliances, staff augmentation, SaaS, software licensing, services, and consulting agreements.Provide legal advice and support on contract terms, obligations, and risk management.Ensure compliance with relevant data privacy laws and review/negotiate data protection agreements.Analyze and interpret contract provisions, including Limitations of Liability, Indemnification, Intellectual Property Rights, and Warranties and Representations.Advise internal stakeholders and executive sponsors on legal risks related to procurement, supply chain, and vendor relationships.Collaborate with the Procurement team to develop strategies for contract negotiations that align with the company’s business objectives.Manage contract lifecycle processes, ensuring that legal operations run efficiently and meet business requirements.Implement best practices for legal operations related to contract management, including contract templates, clause libraries, and contract automation tools.Ensure compliance with relevant procurement laws and regulations, including competition laws, data privacy, and export controls.Assist in developing and implementing procurement policies and procedures to optimize efficiency and mitigate legal risks.Provide training to Procurement and other departments on contract management, legal risks, and procurement-related issues.Support dispute resolution and litigation efforts related to procurement and supplier contracts.Stay current on changes to procurement and contract law, industry trends, legal developments, and best practices in commercial and technology contracts, and provide updates to internal teams as necessary.Work cross-functionally with Compliance, Security, AI, Privacy, and other teams to manage risk in supplier and vendor relationships.

Qualifications:

Juris Doctor (JD) degree from an accredited law school and membership in good standing with a state bar.Minimum of 3-5 years of experience in procurement law, contracts, legal operations, and a related legal field, preferably in the technology or software sector.Strong knowledge of contract law, intellectual property law, and commercial law.Experience in drafting and negotiating complex agreements, particularly those related to technology procurement, cloud services, and software licenses.Proven experience in legal operations, including contract management processes, tools, and technology.Excellent contract drafting, negotiation, communication, and critical thinking.Excellent interpersonal skills and team building skills.Strong attention to detail and effective time management skills.Ability to manage multiple projects simultaneously and meet deadlines in a fast-paced environment.Ability to manage outside counsel.Strong analytical and problem-solving abilities.Experience working in a global organization and knowledge of international procurement regulations is a plus.

Preferred Qualifications:

Familiarity with procurement in the context of GDPR, data privacy, and other regulatory requirements.Experience with compliance programs related to supply chain management.Understanding of modern slavery and human rights laws as they pertain to procurement.Knowledge of enterprise procurement systems and processes.

Compensation:

This role has a market-competitive salary with an anticipated base compensation range listed below. Actual salaries will vary depending on a candidate’s experience, qualifications, skills, and location. This role might also be eligible for a commission or performance-based bonus opportunities.

$109,550.00 - $214,950.00
