Phoenix Tower International is seeking an experienced and dynamic Senior Counsel – M&A to join our growing Legal Team and who will serve as legal advisor on various telecommunications infrastructure transactions. In this role, you will oversee and lead all transactional aspects of PTI’s mergers and acquisitions processes which will include review, draft and negotiate contracts related to PTI’s business. This position will require working collaboratively in assisting various teams with all business transactions pertaining to acquisitions, divestitures and joint ventures, equity investments and liaise with external legal counsel and serve as PTI’s legal representative with all clients and operators ensuring the highest level of integrity and skill to identify and mitigate any risks associated with complex transactions. This role will demand strong legal, analytical and financial acumen, plus possess strong strategic thinking and relationship management skills.

 

What are the key responsibilities?

  • Review, draft and negotiate contracts and transactional documents i.e., Asset and Stock Purchase Agreements and Master Lease Agreements.
  • Oversight for all transactional legal aspects of the Company’s mergers and acquisitions processes.
  • Collaborate cross functionally with multiple business units, including M&A and Finance teams on all major business transactions.
  • Serve as liaison with local external lawyers and represent the Company before counterparts and operators.
  • Review and analyze ground leases, easements, tenant leases, surveys, title reports, and other property-related contracts.
  • Prepare corporate documents and maintain Company’s legal files.
  • Manage outside legal counsel in the completion of legal due diligence in connection with mergers and acquisitions transactions.
  • Negotiate and draft the related financing documents applicable to any mergers and acquisitions transaction, such as Commitment Letters, Term Sheets, Loan Agreements, and related documents.
  • Assist in the management of, and reporting required under, Company’s existing Credit Facilities worldwide.
  • Exercise other duties or functions as required in the capacity of legal counsel to the Company.
  • Represent PTI Legal at Board Meetings in local markets.
  • Assume responsibility for ensuring that the Company conducts its business in compliance with all applicable laws and regulations.

 

What We're Looking For:

  • Minimum of 15 years of experience in the areas of real estate and corporate transactions, specific to M&A, with a reputable law firm or in-house legal department is required, plus experience in the telecommunications and/or tower industry is preferred.
  • Juris Doctorate degree from an accredited law school and an active license to practice law in relevant market.
  • Bilingual in English, Spanish and/or Italian required.
  • Must have highly polished drafting skills.
  • Self-starter with initiative and demonstrated creative problem-solving ability.
  • Ability to take ownership, negotiate and resolve issues.
  • Exercise judgement on complex, confidential and sensitive matters.
  • Ability to lead teams, work collaboratively and thrive in a fast-paced culture.
  • Must have a strong work ethic, well-organized, and detail oriented.
  • Superior written, verbal and presentation skills required.
  • Maintain a professional demeanor at all times.
  • Able to perform additional duties as assigned.
