Reporting to the Sr. Director, Global Governance & Litigation, the Legal Counsel, Corporate Governance & Sustainability will provide legal guidance and strategic support on all matters related to corporate governance and sustainability.
How you'll make an impact
Support the Board of Directors and its committees, including by coordinating and assisting with the preparation of meeting materials and other governance documents.
Assist in preparing proxy statements, the planning of the annual shareholder meeting, and related governance actions.
Advise on cross-functional initiatives aimed at integrating newly acquired entities into the company’s governance framework.
Monitor corporate governance best practices and related regulatory and legislative developments.
Work cross-functionally to support the company’s global legal entity operations, including formation, merger, and dissolution processes.
Provide legal counsel on all sustainability-related matters, including environmental regulations, sustainability goals, and social impact initiatives.
Monitor emerging sustainability laws, standards, and frameworks;
Review and advise on sustainability disclosures, including sustainability reports.
Experience you'll bring
Juris Doctor degree from an accredited law school.
4-5+ years of relevant work experience.
In-house and/or big law firm experience.
Knowledge of general corporate law and corporate governance best practices.
Experience with legal entity management.
Knowledge of global sustainability laws and regulations;
Excellent communication (oral and written) and interpersonal skills.
Exceptional organizational skills, attention to detail, and the ability to multitask, prioritize, and adjust as priorities shift.
Ability to work independently, yet still be team-oriented and collaborative.
Ability to build strong internal relationships and to act as a legal resource for business and functional leaders globally.
Ability to apply strong problem solving skills and excellent judgment to develop practical, business-oriented solutions.
Sound judgment; ability to clearly make reasoned recommendations; ability to anticipate risk and be proactive in planning and communicating accordingly, including determining who should be informed and engaged.
Proficiency in Microsoft Office and GSuite; ability to ramp up quickly on other applications and systems, including document management system.
The base pay range represents the anticipated low and high end of the pay range for this position. Actual pay rates will vary and will be based on various factors, such as your qualifications, skills, competencies, and proficiency for the role. Base pay is one component of WEX's total compensation package. Most sales positions are eligible for commission under the terms of an applicable plan. Non-sales roles are typically eligible for a quarterly or annual bonus based on their role and applicable plan. Pay Range: $146,000.00 - $194,000.00
