GEICO is seeking a skilled, motivated and detail-oriented individual to serve as Paralegal, Corporate Governance in the Legal Operations, Commercial & Corporate Law Division of its Legal Department. The Paralegal, Corporate Governance will primarily support GEICO’s Corporate Secretary with subsidiary legal entity management and corporate governance matters. This position involves a broad range of paralegal support and requires excellent communication, written and task management skills. The ideal candidate will have experience working as part of a team, be a self-starter with strong attention to detail, produce excellent work product, and think strategically.

Primary Responsibilities:

  • Assist with all aspects of subsidiary governance, primarily of US entities, including day-to-day entity management and formation and elimination of entities
  • Prepare, process and track state, local and regulatory filings with Secretaries of State and Departments of Insurance
  • Prepare drafts of legal documents, including governing documents, powers of attorney, secretary certificates, and board consents
  • Prepare for and attend board meetings, including drafting agendas, resolutions, memos and minutes
  • Maintain corporate minute books and other entity records
  • Administer entity management system and keep entity data current
  • Conduct substantive reviews of documents and legal research
  • Interact with government authorities in the US on corporate governance matters
  • Collaborate cross-functionally and with external service providers and registered agents
  • Assist in managing, preparing and processing general administrative matters
  • Handle paralegal assignments related to other areas of the law

Required Qualifications:

  • Bachelor’s degree and/or ABA approved Paralegal Certificate
  • 5+ years of paralegal experience or equivalent demonstrated through one or a combination of the following: work experience, training, military experience, education
  • Ability to work in a fast-paced deadline driven environment
  • Strong research skills
  • Excellent verbal and written communication skills
  • Strong analytical skills with high attention to detail and accuracy
  • Strong organizational, multi-tasking and prioritizing skills
  • Ability to work independently and with a team
  • Ability to process highly confidential/sensitive data and maintain discretion
  • Strong Microsoft Office skills (Word, Excel, Outlook, and PowerPoint)
  • Curiosity, enthusiasm, and willingness to learn new legal and regulatory areas

Preferred Qualifications:

  • Experience in subsidiary entity governance
  • Experience with entity management systems
  • Experience with insurance industry
  • Notary or willingness to become a notary

Work Location: Hybrid three days a week in office.

Annual Salary

$90,000.00 - $182,000.00

The above annual salary range is a general guideline. Multiple factors are taken into consideration to arrive at the final hourly rate/ annual salary to be offered to the selected candidate. Factors include, but are not limited to, the scope and responsibilities of the role, the selected candidate’s work experience, education and training, the work location as well as market and business considerations.
