Legal.io is working with a leading airline seeking an experienced commercial counsel to assist on a full-time (40 hours per week), contract-basis for an initial 6 month term (through May 2025). The ideal candidate would be able to work a hybrid schedule out of the airline's Chicago or Houston offices but highly qualified remote candidates will also be considered. This is a w2 role through Legal.io with available benefits (health, dental, vision, 401k).

Role and Responsibilities

  • Draft, review, and negotiate a diverse range of commercial contracts, including but not limited to, vendor agreements, customer contracts, partnership agreements, confidentiality agreements, and service agreements.
  • Provide legal advice and guidance to internal stakeholders on contractual matters, business strategies, and regulatory compliance.
  • Collaborate closely with cross-functional teams including sales, marketing, procurement, and finance to ensure legal compliance and mitigate risks.
  • Identify and assess legal risks associated with business operations and develop strategies to mitigate these risks.
  • Stay current with relevant laws, regulations, and industry trends to ensure the company's compliance and competitiveness.
  • Assist in the development and implementation of legal policies, processes, and training programs to promote legal awareness and risk management throughout the organization.
  • Support dispute resolution and litigation efforts as needed, including managing external counsel when necessary.
  • Participate in the evaluation and management of intellectual property matters, data privacy, and cybersecurity issues.
  • Conduct legal research and provide concise and practical legal opinions to guide decision-making.
  • Collaborate with external legal partners when necessary to ensure comprehensive legal support.

Required Qualifications:

  • Minimum of 5 years of experience negotiating/drafting IT agreements and advising on software and other IT-related matters with a reputable law firm, large company, or a combination of the two; At least 7 years of the above experience preferred
  • Experience negotiating IP issues related to software preferred
  • Must have good market knowledge of IT software and services (both maintenance/support and consulting/development) to not only identify risk, but also understand whether risks presented are reasonable
  • Excellent time management skills and business judgment with a capacity to make decisions and give practical, timely, clear and accurate legal advice
  • Must be comfortable pressure-testing alternative solutions with executive-level clients
  • Strong interpersonal communication skills that enable individual to work effectively with a wide range of strategic, technical and practical aspects of business
  • Ability to partner with the business team to solve complex issues by providing concise, pragmatic advice
  • Superior written and verbal communication skills
  • Familiarity with IP and privacy issues in the context of IT agreements is preferred
  • Experience in the advertising industry is a plus
