Position Summary

The Senior Counsel assists the Assistant General Counsel and Assistant Secretary (AGC) with various legal and contracts-related matters, with responsibility for ensuring timely, accurate, and risk-weighted legal advice and service. A member of a collegial and highly effective Legal Department, the Senior Counsel works in close collaboration with other Oceaneers across business units and functional departments to enable business and maximize profit in furtherance of the Company’s strategic objectives and within its Mission, Vision, and Values, with the oversight of the AGC.

  • Role provides the opportunity to work in hybrid environment, with at least three days in office per week unless otherwise approved.

Essential

Duties & Responsibilities

  • Serve as a trusted advisor on areas of legal specialty as agreed with the AGC, supporting other AGCs, members of the Legal Department and other Oceaneer's.
  • Provide accurate, relevant, complete, and timely legal advice (including but not limited to document drafting and review, oral or written advice on legal issues, and managing outside counsel and other legal support providers) to internal client(s), including the AGC, in accordance with Company policy, risk tolerance, and budget.
  • Ensure that the AGC and other stakeholders are timely made aware of legal issues, risks, and proposed solutions where there is a risk of material impact on the Company’s financial, operational, and reputational results.
  • Promote compliance with the Code of Conduct, especially as it relates to anti-corruption, trade controls, antitrust, intellectual property, and other legal topics.
  • Draft, review, and make recommendations to the AGC regarding various commercial contracts and agreements and corporate transactions and advise other legal, contracts, and/or commercial personnel on such matters.
  • Provide support to the Legal Department and other company stakeholders in transactional matters, such as preparing intercompany agreements, powers of attorney or responding to “know your customer” requests.
  • Assist the AGC and oversee legal support staff with respect to corporate secretarial duties and maintenance of minute books and other corporate files, primarily those related to the Company’s foreign subsidiaries in Europe, Asia Pacific, the Middle East and Africa.
  • Manage the renewal of necessary licenses, permits and relevant qualifications of entities in such jurisdictions.
  • Assist with the adoption of processes and development of automation within the Legal Department, including identifying recurring tasks with respect to the Company’s legal subsidiaries and maintaining such information in the Company’s chosen database.
  • Oversee the establishment and liquidation of subsidiary entities and branches, including advising on drafting and negotiation of joint venture arrangements, as required.
  • Assist with new country entry (as required for the relevant territories), including conducting research and ensuring that legal requirements are understood by the relevant stakeholders.
  • To the extent assigned by the AGC:
  • Assist the AGC in the role of Legal Business Partner to one or more Senior Vice Presidents (SVPs). The Legal Business Partner role requires close coordination and communication with the relevant SVP(s) about business goals and legal and contractual methods for achieving the best results for the business, as well as about ensuring compliance with relevant laws and regulations that apply to the business.
  • Serve as a global Subject Matter Expert on areas of legal specialty, supporting other members of the Legal Department and other Oceaneer's.
  • Assist with the preparation of a broad range of securities filings under the Securities Exchange Act of 1934 and the Securities Act of 1933.
  • Assist with the preparation of filings with the New York Stock Exchange.
  • Assist with the preparation for Board of Directors and committee meetings, including drafting of materials and coordination of agendas.
  • Assist with the maintenance of corporate governance policies and practices.
  • Assist with document preparation and due diligence for M&A and other corporate restructurings or debt transactions; and
  • Assist with ESG matters, including preparation of materials and review of disclosure requirements and emerging regulations.

Non-essential

  • Through continuing education and relationships with outside counsel, stay up to date with changes to legislation, particularly in relation to laws, rules, and regulations that directly affect our business and specific industry.
  • Promote legal, compliance, and risk management best practices, including by assisting with the design and implementation of relevant company policies and procedures.
  • Assist in designing and providing relevant legal training to the business.

Required

Qualifications

  • Law degree from accredited university.
  • Licensed (or otherwise eligible to apply for licensure) to practice law in one or more relevant jurisdictions.
  • 6+ years of legal experience.
  • Fluent in English.

DESIRED

  • Experience as in-house counsel for a global business, particularly one with technology and other complex service and manufacturing offerings.
  • Litigation, labor & employment, M&A experience a plus.
  • Fluency in other languages is a plus, particularly Spanish, Portuguese, Norwegian, or Arabic.

Additional Information

This position is Hybrid - Remote and will require commuting to a designated office. Hybrid work schedules are determined by the hiring manager based on business need.
