Position: Associate Legal Counsel, Commercial Transactions

 

Location: Nashville, TN

 

Overview: We are looking for a highly experienced commercial transactions/finance attorney to manage and lead legal aspects of the Company’s business development, finance, and general corporate function. The candidate will work closely with the Senior Legal Counsel, Commercial Transactions on transactional matters affecting the Company. As such, the candidate must be very proactive, demonstrate strong communication and legal writing skills, have experience working on large, complex and high-dollar commercial and financing transactions, and be willing to assist the Senior Legal Counsel, Commercial Transactions in meeting the legal needs of the Company and its various divisions. The candidate must also have strong judgment and time-management skills and be willing to work independently, while also providing legal support to the Company’s divisions on general commercial and financing matters.

 

Main Responsibilities: As Associate Legal Counsel, Commercial Transactions, the candidate will handle general commercial and financing matters affecting the Company, including (i) project financing, corporate financing and commercial transactions, in particular with due diligence, contract review and drafting, and deal flow management; (ii) managing commercial transaction closings, including oversight of closing deliverables; (iii) negotiating, drafting and administering contracts in support of the Company’s finance, business development, and project development and energy delivery groups (including power purchase agreements, interconnection agreements, credit agreements, purchase and sale agreements, stock purchase agreements, etc.); (iv) overseeing outside counsel as and when appropriate (though the expectation is that the large majority of the legal work will be handled by the candidate); and (vi) assisting and providing guidance to the Company’s various divisions where needed in support of the growth of the Company. The candidate should also have the ability and willingness to provide general legal services outside of commercial and financing transactions as required. In fulling these responsibilities, the candidate must be able to:

 

  • Manage negotiations and contracting in support of the Company’s Business Development, Project Development, Energy Delivery, Accounting, and Project Finance teams.
  • Assist with legal aspects affecting the Company’s Business Development, Project Development, Energy Delivery, Accounting, and Project Finance teams, as well as the Company’s rapidly growing portfolio of operating and development assets.
  • Communicate effectively and responsibly with vendors and partners.
  • Prioritize work in order to meet project goals including deadlines, cost targets and project schedules.
  • Work in a collaborative environment across multiple departments with effective written and oral communication skills.
  • Represent the organization professionally with vendors, customers, utilities, local officials, financing partners and other project stakeholders.

 

Reporting: The candidate shall report directly to the Senior Legal Counsel, Commercial Transactions.

 

Qualifications: 

 

Education: J.D. degree from an ABA-accredited US law school; active bar admission in good standing in at least one state with ability to obtain bar admission in Tennessee.

 

Experience:

 

  • Minimum of 4 years of experience as a commercial, M&A/corporate, or finance lawyer at a top-tier law firm or sophisticated corporate legal department negotiating and administering commercial contracts and managing clients’ business development and financing functions
  • Experience managing high-value commercial contracts
  • Ability to proactively identify problems, drive projects, make cost/benefit assessments, and identify pragmatic/creative legal and business solutions
  • Strong interpersonal skills, with the ability to quickly earn the confidence of colleagues and effectively communicate and collaborate with people at all levels of the organization
  • Accurate and strong attention to detail and high level of organization
  • Ability to manage multiple projects and people and to work well and professionally with others
  • Embraces and enjoys a fast-paced corporate environment with the opportunity to broaden areas of expertise over time
