Senior Specialist, Governance and Securities

 

 

Overview:

The Corporate Law Team is responsible for, among other things, legal support to the company and the Board of Directors on corporate governance and securities matters (including advising on disclosure issues and compliance with securities law and other public company obligations).
The person in this role will report to an experienced attorney and be part of a small team of governance professionals supporting governance, public company reporting and general corporate matters.

Role:

Under general direction, provides professional support service to attorneys and paralegals in the form of assistance with preparation of forms, managing processes and various related activities.

Responsibilities Include:

• Serve as group lead for all legal Workiva/WDesk activities and filings, as well as serving as legal
contact for customer relationship partner and Controller Group
• Assist with preparation of Section 16 reports and related forms and documents, including power of attorneys and Form IDs (to obtain SEC filing codes)
• Updating and maintaining SEC filing codes and passwords, including coordination with Board member contacts
• Manage relationships with Broadridge, proxy design firm and other relevant service providers
• Assist with Annual Meeting preparation, including documents and coordinating with Broadridge
• Assist with annual independence/ industry director review, related-party matters and one-off conflict checks
• Assist with processes and documents relating to the Insider Trading Policy, including assisting in creation of Access Individual report, drafting and posting trade window notices (both to employees and directors), and maintaining team files for related activities (including maintaining copies of preclearances, 10b5-1 plans and relevant email distributions)
• Assist with maintaining and distributing Corporate Calendar
• Assist with maintaining team files relating to materials for routine public company activities (including Section 16 filings, 10-Ks, 10-Qs, 8-Ks, proxy statement and annual meeting documents, debt issuance documents, NYSE filings and stock ownership for executive officer and directors)
• Coordination with IR on updating IR website for governance and other applicable matters, as well as coordinating changes with Communications team
• Update governance and other related information on NYSE website
• Assisting with senior attorneys and paralegals with governance and securities matters as needed
• Administer programs, projects or processes specific to the operating unit being served

All About You:

Education:
• ABA approved paralegal certificate preferred
• Bachelor’s degree or equivalent work experience
• Coursework in specialized area such as databases, corporate governance maintenance, or software used for reporting security ownership to, and filing reports with, SEC

Knowledge / Experience:
• Prior experience as a corporate paralegal in relevant area

Skills/ Abilities:
• Excellent written and verbal communication skills
• Strong organizational skills and attention to detail
• Proficient in MS Office products and database tools
• Ability to build relationships a key - excellent people skills and communication skills a must.
• Must be resourceful: have the ability to learn how to find the information requested and respond promptly
• Experience creating and maintaining Access databases
