We are seeking a highly experienced Deputy General Counsel to join a dynamic legal team. Reporting directly to the Chief Legal Officer & Global General Counsel, the Deputy General Counsel will play a key role in supporting a wide array of legal matters, including new fund launches, capital raising initiatives, joint ventures. This role demands extensive experience in both law firm and in-house settings, with expertise in BDCs, CLOs, and private investment funds.
Compensation: $400,000 – $500,000/year – total compensation
Location: New York, NY
Responsibilities as the Deputy General Counsel:
- Fund Launches & Capital Raising: Lead legal efforts in launching new funds (e.g., BDCs, CLOs, commingled funds) and support various capital raising initiatives.
- Product Support & Expansion: Provide legal guidance in expanding and supporting existing investment products.
- Joint Ventures: Structure, manage, and negotiate joint ventures, M&A transactions, balance sheet investments, and other strategic initiatives.
- Investment Team Support: Assist the investment team with private investments and respond to liability management exercises.
- Contract Negotiation: Negotiate a range of agreements, including NDAs, vendor agreements, third-party marketer contracts, and distribution agreements.
- Compliance Advisory: Provide legal counsel to the compliance team, ensuring adherence to regulatory standards.
Qualifications for the Deputy General Counsel:
- Experience: Minimum of 10 years of legal experience, with a mix of law firm and in-house roles. Experience with BDCs, CLOs, and asset management preferred.
- Education: Excellent academic credentials with extensive experience as an in-house attorney at an asset management firm.
- Legal Expertise: Deep knowledge of the Investment Advisers Act, with working knowledge of the Investment Company Act and the Securities Act. Familiarity with US and European regulations in the investment management industry.
- Skills: Strong negotiation skills, particularly in commercial and operational contracts. Ability to manage a broad range of legal responsibilities in a fast-paced environment.
- Licensing: Licensed to practice law in New York.
