Job Description
Pillsbury Silicon Valley is seeking a Paralegal with 5 to 10 years of experience working in corporate transactions including IPO’s, mergers and acquisitions, re-incorporations, stock option plans and venture capital financings. Servicing a broad array of clients including technology start-ups, emerging growth companies and public firms. The position will provide a varied work experience, with a focus on incorporating high tech companies, perform records management, administer, and implement stock option plans, handle venture capital financings, and conduct blue sky research. Position will oversee intricate shareholder mailings with assistance of other legal analysts.
The ideal candidate must demonstrate integrity, solid attention to detail, superior communication skills and exceptional organizational ability. Must have a BA/BS degree or equivalent with a paralegal certificate form an ABA-approved program and a minimum of 5 to 10 years of directly related work experience. Candidates should have experience supporting IPO from start to finish, be experienced and diligent in maintaining all corporate governance documents including minute books and closing binders for complex transactions. Experience with stock options, stock splits and cap table management software (e.g., eProsper, Carta, etc.) is essential. Excellent computer skills required, including DocuSign, MS Office (Word, Excel, Outlook). Flexibility to work overtime as requested.
Qualified applicants with arrest and conviction records will be considered for the position in accordance with the California Fair Chance Act. California Pay range for this role, with final offer amount dependent on skillset and experience $115,000-$170,000.
