Job Summary:

We are seeking an experienced attorney to join our Galileo legal team and play a crucial role in navigating complex legal issues surrounding our SaaS offerings and technology transactions. The ideal candidate will have a proven track record of drafting and negotiating sophisticated agreements related to intellectual property, technology licensing, data privacy, and commercial transactions. This role demands a strategic thinker who can provide insightful legal counsel while collaborating effectively with cross-functional teams.

Key Responsibilities:


  • Drafting and Negotiating Agreements:
  • Structure, draft, and negotiate a wide range of agreements, including SaaS subscription agreements, software licenses, technology partnerships, IP licensing, and data processing agreements.
  • Ensure compliance with applicable laws and regulations, including data privacy and security requirements (e.g., GDPR, CCPA).
  • Develop and maintain template agreements for efficient and consistent contract management.
  • Intellectual Property (IP) Counseling:
  • Provide strategic guidance on IP protection, enforcement, and commercialization strategies.
  • Advise on copyright, trademark, trade secret, and patent matters in the context of software and technology transactions.
  • Manage IP portfolio and conduct due diligence in M&A and other corporate transactions.
  • Technology Transactions:
  • Support the development, commercialization, and licensing of technology and IP assets.
  • Structure and negotiate complex transactions involving software, e-commerce, fintech, and media content.
  • Advise on technology-related regulatory and compliance issues.
  • Data Privacy and Security:
  • Stay abreast of evolving data privacy laws and regulations.
  • Ensure contractual arrangements adequately address data privacy and security risks.
  • Assist in developing and implementing data privacy policies and procedures.
  • General Legal Counsel:
  • Provide legal support on a range of matters related to SaaS offerings, technology transactions, and general business operations.
  • Work closely with cross-functional teams (e.g., product, engineering, sales) to address legal issues and mitigate risks.
  • Stay updated on legal and industry developments relevant to the company's business.

Qualifications and Experience:


  • J.D. degree from an accredited law school and admission to at least one state bar.
  • 7+ years of legal experience with a focus on SaaS, technology transactions, and intellectual property.
  • Strong understanding of software licensing, open source software, cloud computing, and data privacy laws.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to work independently and collaboratively in a fast-paced environment.
  • Sound business judgment and strategic thinking skills.

Preferred Qualifications:


  • Experience in the technology or SaaS industry, including artificial intelligence.
  • Familiarity with international data privacy regulations.
  • CIPP/US or other relevant privacy certifications.

Compensation And Benefits

The base pay range for this role is listed below. Final base pay offer will be determined based on individual factors such as the candidate’s experience, skills, and location.
