The General Counsel will be an integral part of Carbon Health’s leadership team and will support Carbon Health’s mission: making world-class healthcare accessible to all. To support our mission, this position will advise on a wide range of legal subject areas, including healthcare regulatory guidance, general commercial transactions, corporate governance and compliance, SEC reporting, privacy requirements, litigation and risk management, intellectual property, employment and real estate. Additionally, you will work cross-functionally with finance, operations and compliance to drive implementation. This role involves both strategic leadership as well as work in the trenches to get things done.

What You'll Do

  • Strategic partnership supporting business expansion and growth for our professional entities
  • Manage and advice on corporate governance, business development transaction, law compliance, general transaction support, license agreements, employment law, regulatory matters, risk management, financing activities, and general contract management
  • Draft, review, approve and provide oversight of all company agreements, including key agreements relating to sales agreement, suppliers and vendors, payers, distributors, software and technology licensing, employment and consulting
  • Provide in-depth legal advice with complex laws and regulations including, but not limited to Stark Law, the anti kickback Statute (and various state-law equivalents), EMTALA, Medicare, Medicaid State Operations Manual, HIPAA/HiTech, PPACA, ERISA, HIPAA, and other federal and state statutes, rules, and regulations that govern healthcare providers
  • Partner with Human Resources as it pertains to compliance and employee relations Lead and coordinate the legal services, including selection and supervision of external counsel, and evaluate the quality and costs of outside counsel
  • Develop and refine marketing compliance guidelines and review marketing materials
  • Act as the Privacy Officer, build the company’s privacy compliance, intellectual property and regulatory program, including applicable policies, procedures and training, and coordination with other internal business functions
  • Foster a high performing legal team that establishes clear expectations, sets priorities, and focus resources

About You

  • JD from an accredited law school, and a license in good standing with the California Bar
  • 12+ years of relevant legal experience and prior General Counsel experience in healthcare and/or technology, preferably in a fast growing startup company
  • Exceptional judgment and ability to act decisively and with discretion in situations requiring quick, but thorough analysis and provide effective solutions
  • Proven legal experience covering multiple aspects of corporate law including business development, corporate contracting, employment, intellectual property, security and compliance, privacy, corporate governance
  • Experience in an advisory capacity to the Board of Directors, Risk Management Committee, Compliance and senior administrative/clinic management staff and physicians on risk management issues
  • Strong organizational and time management skills in order to balance working on multiple projects in parallel
  • Must be a strategic, big picture thinker who understands, appreciates and can appropriately balance legal, business and creative objectives
  • Humble, work collaboratively with all levels of the organization, roll up your sleeves approach and ability to prioritize and multitask
