_ The Role:

This role will report directly to the General Counsel and will be a key member of the Legal Department. The Government Contracts and Data Privacy Counsel will work closely with all aspects of the business, including Finance, Sales, Operations, Information Technology, and Compliance, supporting both the corporate and fulfillment sides of the business. This individual will be responsible for leading government contracting and data privacy efforts as Cart.com expands its government business and global footprint.

The Government Contracts and Data Privacy Counsel will assist in the life cycle of government contracts include tenders, RFPs, RFIs and related responses, and building a culture of regulatory compliance. The ideal candidate will have 7+ years working in-house on government and regulatory matters, including a deep understanding of government regulations, contract management, and data privacy laws, with a proven track record of taking ownership of government and regulatory matters.

What You’ll Do:

Government Contracts

  • Provide legal counsel on all aspects of government contracting, including compliance with federal, state, and local regulations.
  • Lead and manage the end-to-end life cycle of government contracts, including tenders, RFPs, RFIs and related responses.
  • Advise on legal and regulatory risks associated with government contracting.
  • Collaborate with internal and external stakeholders to ensure compliance with government requirements and successful contract execution.

Data Privacy

  • Lead the company’s data privacy initiatives, ensuring compliance with global privacy laws, including developing, implementing and overseeing data privacy policies and practices in compliance with GDPR, CCPA, and other applicable laws and regulations.
  • Draft, review, and negotiate data processing agreements, privacy policies, and other related documents.
  • Provide strategic legal advice on data privacy matters, including data breach response, data governance, and cross-border data transfers.
  • Conduct risk assessments and provide recommendations to mitigate data privacy risks.
  • Work closely with the IT and Security teams to ensure data protection measures are implemented and maintained.

Contract Negotiations

  • Draft, review, and negotiate a variety of contracts, agreements, and legal documents related to the company’s operations, particularly in relation to government contracts and data privacy.
  • Develop and improve templates for contracts to streamline processes and ensure compliance with legal and regulatory standards.
  • Ensure that legal risks are appropriately identified and mitigated in contractual relationships.

Compliance/Risk Management

  • Identify legal and regulatory risks associated with the company’s operations, especially in government contracts and data privacy, and develop strategies for mitigation.
  • Collaborate with other departments to implement risk management policies and procedures.
  • Ensure compliance with the company’s policies and procedures.

Litigation

  • Assist General Counsel in dispute resolution and litigation matters related to government contracts and data privacy, including managing discovery, negotiating settlements, and managing internal and external stakeholders.

  • Familiar with a wide variety of legal and regulatory issues related to government contracting and data privacy.
  • Creative problem-solving skills to assist in meeting business needs while mitigating risk and managing key relationships.
  • Ability to independently provide business-focused legal advice on all matters impacting the company’s business.
  • Strong commitment to quality work product and organizational ethics, integrity, and compliance.
  • Excellent organizational skills and the ability to manage multiple, complex priorities.
  • Ability to work collaboratively in a fast-paced and dynamic environment.
  • Strong business acumen with the ability to be forward-thinking and innovative while understanding our business needs and limitations.

What You’ve Done:

  • 7+ years of experience as a licensed attorney, with substantial experience in government contracts and data privacy law, preferably within a leading law firm and/or in-house.
  • Juris Doctor (JD) from an accredited law school; active admission to a state bar.
  • In-house experience dealing with government contracts, data privacy, compliance, contract negotiations, and litigation.
  • Experience advising on global data privacy regulations and compliance.

Nice to Haves:

  • Experience in a start-up or high-growth company.
  • Experience in the e-commerce/3PL space.
  • Preferably based in Houston, Texas, but remote candidates with relevant experience will be considered.

Working Conditions:

  • This position will be a remote-first position, with the individual expected to occasionally attend in-person meetings at the nearest Cart.com office and travel for work-related matters.
