The Senior Manager of Legal Affairs (Corporate Counsel) leads the Legal team, performs complex legal work for Fictiv, and will involve close association and coordination with senior management. The Senior Manager of  Legal Affairs is part of the Legal and Finance team and works across all functional departments and Fictiv business units. The Senior Manager is the primary person responsible for identifying and managing legal issues faced by Fictiv globally, across commercial, compliance, employment, IP/security, insurance/ risk management, and corporate governance issues. Working closely with the management team, global colleagues, and outside counsel, the Senior Manager manages contract and legal compliance, helps develop and implement global policies and procedures, provides research on and coordination of establishing operations in new jurisdictions, and identifies and advises on actual and potential global legal risk and compliance matters. The Senior Manager of Legal Affairs reports to the CFO and supervises the Legal Affairs and Operations staff.

Areas of Responsibility:

  • Provide legal representation to the organization, support the work of the Organization, and manage the full range of legal strategies and responsibilities for Fictiv legal entities in the US and global jurisdictions
  • Establish a framework for, and manage legal risks across, including commercial, compliance, employment, IP/security, Privacy, insurance/ risk management, corporate governance, and outside counsel management
  • Identify, research, and analyze legal issues that affect the organization and its activities at the local, state, federal, and international levels associated with the organization’s activities, ongoing operations, and strategic initiatives
  • Lead complex legal projects that span legal, business, and functional boundaries (e.g., cross geographies, subject matter areas, jurisdictions, organizations, and business models)
  • Develop and provide training on legal issues, processes, and policies to multi-level audiences in all departments
  • Develop and manage the legal department budget
  • Draft and negotiate software, hardware, and service agreements
  • Drive process and workflow efficiencies across the legal organization
  • Advising on the legal implications of company policies and procedures
  • Ensuring all contracts, legal documents and templates are up-to-date and compliant with statutory laws
  • Reporting on legal activities, risks, and litigation
  • Special projects and other duties, as assigned

Critical Skills required:

  • Experience working in a corporate legal department
  • Knowledge of the hardware manufacturing industry
  • Experience with international import and export, as well as export control regulations
  • Experience drafting and negotiating software, hardware, and service agreements
  • Strong legal research and drafting skills
  • Excellent communication and negotiation skills
  • Develop company policy and position on legal issues, anticipate and guard the company against legal risks
  • Guide managers and ensure compliance with rules and regulations
  • Eligible to register as corporate counsel in California

Salary Range: 
Base - $160,000 - $180,000 (depending upon experience)
