Position Overview

We are seeking a dynamic and experienced healthcare Chief Legal Officer (CLO) to join our executive team and provide strategic leadership in all legal matters. As the CLO, you will be responsible for overseeing the company's legal affairs, ensuring compliance with applicable laws and regulations, and mitigating legal risks. You will play a pivotal role in shaping our legal strategy, guiding decision-making processes, and safeguarding the company's interests as we continue to innovate and grow in the mental health sector. Please note that previous extensive experience working with physician group practices is required to be considered for this role.

Experience Requirements

Legal Strategy and Compliance:

  • Extensive expertise in the healthcare field, covering both clinical practice and healthcare technology
  • Develop and implement comprehensive legal strategies aligned with the company's objectives and growth plans.
  • Monitor and ensure compliance with relevant laws, regulations, and industry standards governing mental health technology, data privacy, healthcare, and intellectual property.

Risk Management:

  • Identify and assess legal risks associated with business operations, products, and services, and implement proactive measures to mitigate such risks.
  • Provide guidance on risk management strategies and collaborate with cross-functional teams to address legal challenges effectively.

Contract Negotiation and Management:

  • Lead negotiations and drafting of a wide range of contracts, including licensing agreements, partnership agreements, vendor contracts, and employment agreements.
  • Review and analyze contractual terms and obligations to protect the company's interests and ensure compliance with legal requirements.

Intellectual Property Protection:

  • Oversee the protection and enforcement of intellectual property rights, including trademarks, copyrights, and patents.
  • Manage intellectual property portfolio, licensing agreements, and infringement disputes in collaboration with external counsel when necessary.

Corporate Governance:

  • Advise senior management and the board of directors on corporate governance matters, corporate structure, and regulatory compliance obligations.
  • Facilitate board meetings, prepare board materials, and ensure compliance with corporate governance best practices.

Litigation and Dispute Resolution:

  • Manage and oversee litigation matters, including disputes, claims, and regulatory investigations.
  • Work closely with external counsel to develop litigation strategies, negotiate settlements, and represent the company's interests in legal proceedings.

Knowledge, Skills And Abilities Requirements

  • Juris Doctor (J.D.) degree from an accredited law school and active membership in good standing with the bar association.
  • Minimum of 10 years of experience practicing law, with a focus on technology, healthcare, or related industries. Prior in-house experience preferred.
  • Proven track record of providing strategic legal counsel and leadership in a fast-paced, innovative environment.
  • Deep knowledge of legal and regulatory frameworks relevant to mental health technology, including HIPAA, GDPR, and telemedicine laws.
  • Strong negotiation, communication, and interpersonal skills, with the ability to collaborate effectively across diverse teams.
  • Demonstrated ability to think strategically, analyze complex legal issues, and provide practical solutions to mitigate risks.
  • High level of integrity, ethical judgment, and commitment to upholding legal and compliance standards.

Additional Information

The expected base salary for this role will be between $180,000 - $230,000 at the commencement of employment. However, base pay will be determined on an individualized basis and will be impacted by location and years of experience. Further, base pay is only part of the total compensation package, which, depending on the position, may also include incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Psychplus Health-sponsored benefits.
