TRC has approximately 8,000 employees in over 160 offices globally, including Canada, China, India and the UK.   TRC is currently looking for a talented Contracts Lawyer to join our legal team as a Senior Counsel, Corporate/Employment/Contracts. The position is a full-time position residing in the Legal Department, led by the Chief Risk Officer. Experience in the A&E consulting space performing legal work in support of Power, Infrastructure, and Environmental related services is required; some experience handling corporate, labor, and employment matters is strongly preferred.   As Senior Counsel you will work with project teams and lead the review, analysis, editing,  negotiations, and finalization of a variety of legal documents, including engineering and consulting contracts, field services contracts, construction management contracts, subcontracts, non-disclosure agreements, bid documents, requests for proposals, requests for qualifications, and purchase order terms and conditions. You will assess risk and liability, identify ways to mitigate risk, as well as ensure compliance with our corporate policies, guidelines and procedures. You will also support the Deputy GC with state registrations, firm licenses, and other Company filings.      

  • Review and analyze instructions, selected specifications, contracts, and terms and conditions contained in RFQs and RFPs and provide guidance to proposal/project team
  • Review, analyze, and edit client contract terms and conditions, prepare comments and addenda, and provide explanations and recommendations to the project team and executives
  • Review and analyze contracts including, single project and master services agreements for engineering, consulting, technical, and field services, construction management contracts, subcontracts, confidentiality/non-disclosure agreements, teaming agreements, license agreements, and equipment leases
  • Liaise with in-house counsel, Contract Managers, and operations as appropriate
  • Draft revisions and modifications to client standard agreements as well as internal standard agreements
  • Draft contract amendments for renewals
  • Prepare corporate registrations, permits, and other Company filings
  • Coordinate the review of contract insurance requirements with Risk Management as necessary
  • Coordinate requests for certificates of insurance with Insurance Broker
  • Review client responses to terms and conditions, assist in preparing and justifying request for approval and participate in discussions with project team and executives to obtain approvals for exceptions as required by policy guidelines
  • Review final contracts for completeness and inclusion of negotiated terms prior to execution
  • Review and negotiate exceptions from vendors and subcontractors to TRC’s standard terms
  • Provide contract support and advise project managers on contract issues/change management as needed during project execution with emphasis on risk management
  • Deliver contract/risk management training
  • Support the Human Resources team with respect to employment-related matters
  • Understand and adhere to all Company health and safety procedures as they relate to essential job functions

    Required Experience:  

  • 10+ years’ experience reviewing and negotiating complex documents in the professional services and engineering/construction fields
  • Experience dealing with commercial and public (federal, state and local municipalities) contracting and projects
  • Familiarity with employment matters involving FLSA, FMLA, ADA, HIPAA, and employment contract principles
  • Familiarity with litigation, claims management, legal proceedings, alternate dispute resolution proceedings, and settlement negotiations is a plus
  • Familiarity with FAR, ARRA and its related Buy American certification provisions, and the FCPA, OFCCP, and DCAA is a plus

Education and other Requirements:

  • Bachelor’s Degree and JD Degree
  • Minimum of ten (10) years of relevant experience
  • Some travel required to TRC offices and potentially to client offices or project sites

Compensation will vary based upon experience, education, skill level, geographical location, and other compensable factors.   Other Compensation:  Employee may be eligible for participation in the Company’s annual Discretionary Bonus Program which is contingent on Company, Business Segment, and Individual performance against Key Performance Indicators which vary by year and employee.
