Essential Functions & Responsibilities

  • Legal Leadership: Lead the legal, compliance, and litigation functions, providing strategic legal support across all departments to ensure Theoria Medical’s operations comply with all applicable laws and regulations.
  • Executive Advising: Advise the executive team on legal risks, business strategies, and key issues related to healthcare law, corporate governance, and regulatory compliance.
  • Transaction Oversight: Oversee all legal aspects of Theoria Medical’s business transactions, including contract drafting, negotiation, and review, ensuring the organization’s interests are protected.
  • Risk Management: Design and implement policies and procedures to manage and mitigate legal risks across the organization.
  • External Liaison: Serve as the primary liaison with external legal counsel, managing relationships with law firms and coordinating outside legal services.
  • Corporate Governance: Handle all corporate governance matters, including organizing board meetings, drafting resolutions, and ensuring compliance with state and federal requirements.
  • Employment Law Guidance: Provide legal counsel on employment matters, including disputes, terminations, and the development of HR policies, to ensure compliance and mitigate risks.
  • Intellectual Property Protection: Oversee intellectual property matters, ensuring the protection and management of Theoria Medical’s proprietary information and technologies.
  • Compliance Programs: Develop and implement comprehensive compliance programs to ensure adherence to healthcare regulations, including HIPAA, Stark Law, Anti-Kickback Statute, and False Claims Act.
  • Litigation Management: Manage litigation and disputes involving the company, working closely with outside counsel to protect the organization’s interests.
  • Support Business Development: Provide legal support for business development initiatives, including mergers and acquisitions, joint ventures, and other strategic partnerships.
  • Regulatory Monitoring: Stay informed about changes in laws and regulations affecting the healthcare industry, ensuring Theoria Medical remains compliant and proactively adapting to new legal requirements.
  • Cross-Department Collaboration: Collaborate with other departments to support the development and implementation of operational and administrative policies and procedures.
  • Team Leadership: Lead and manage a team of legal professionals, fostering a collaborative, high-performing environment that encourages growth and excellence.
  • Additional Duties: Perform all other duties as assigned, contributing to the overall success and legal integrity of Theoria Medical.

Qualifications

  • Educational Background: Juris Doctor (JD) degree from an accredited law school.
  • Legal Experience: Minimum of 20 years of legal experience, with at least 10 years in a healthcare-related role, demonstrating a deep understanding of the complexities of healthcare law.
  • Healthcare Expertise: Proven experience in managing legal affairs within a healthcare organization, including extensive knowledge of healthcare regulations such as HIPAA, Stark Law, Anti-Kickback Statute, and False Claims Act.
  • Litigation Experience: Extensive experience as a litigator, including managing complex litigation cases, with a strong ability to navigate high-stakes legal challenges.
  • Skill Set: Excellent negotiation, drafting, and analytical skills, with a proven ability to manage complex legal matters effectively.
  • Leadership Abilities: Strong leadership experience with a demonstrated ability to manage and mentor a legal team, fostering a collaborative and results-driven environment.
  • Independent Decision-Making: Ability to work independently and make informed decisions in high-pressure situations, ensuring the organization’s legal and compliance needs are met.
  • Communication Skills: Exceptional communication and interpersonal skills, with the ability to convey complex legal concepts to diverse audiences and collaborate across departments.
  • Travel Availability: Willingness to travel as needed, including periodic reporting to the office in Miami, FL.

Physical Requirements :

  • Ability to remain in a stationary position for at least 50% of working hours.
  • Frequent movement inside facilities to meet with providers and staff.
  • Ability to obtain records, tools, and medical equipment from various locations.
  • Effective communication with patients, managers, and facility staff.

Shift Structure

  • Work Schedule: Monday through Friday, 8 AM-6 PM EST, can vary based on travel needs.
