Your Impact

As VP, M&A and Securities Counsel, you are a dynamic leader with significant experience advising public companies on complex M&A, acquisitions, joint ventures, and other strategic transactions, as well as securities reporting and corporate governance requirements. Reporting to the Chief Legal Officer (CLO), you will assist the CLO in managing members of the legal team and outside counsel, personally overseeing certain key corporate initiatives, and ensuring all M&A activities align with legal requirements and support the company's strategic objectives. You will advise and collaborate with Axon's SEC & Financial Reporting Team along with outside counsel to help advise the Board and inform Axon's public reporting. Critically, you should bring a passion for technology, public safety and Axon’s mission to Protect Life.

What You’ll Do

Location: Boston, DC or Scottsdale Required

Reports to: Chief Legal Officer

Responsibilities

  • Assist the CLO to manage Axon’s legal and compliance teams and legal operations.
  • Help Develop and implement the legal strategy for M&A activities in alignment with the company’s overall business and legal objectives.
  • Advise the company on Securities laws and reporting requirements.
  • Partner with the CLO to work with the Board and help drive good governance.
  • Lead and coordinate comprehensive due diligence processes for potential transactions.
  • Identify and assess legal risks, ensuring thorough evaluation of regulatory, compliance, intellectual property, contractual, and other legal considerations.
  • Manage external legal counsel as needed for specialized due diligence and transaction support.
  • Partner with the Strategy & Corporate Development team to advise the business and undertake complex M&A work.
  • Prepare and present legal analyses and updates on M&A activities to the executive team and board of directors.
  • Maintain effective communication with internal and external stakeholders, ensuring transparency and alignment.
  • Collaborate with cross-functional teams for seamless transaction execution and integration, providing guidance on M&A related legal issues.
  • Identify and assess legal risks, evaluating regulatory compliance, IP, contractual and other legal considerations to help manage enterprise risk.
  • Draft, review, and negotiate transaction-related documents. complying with applicable laws and regulations to protect the company’s interests.
  • Advise on and ensure compliance with securities laws, antitrust regulations, and other requirements.
  • Liaise with regulatory authorities and manage necessary filings or approvals.
  • Provide post-merger integration legal support for contract assignments, employee transitions, and regulatory compliance. resolving any legal issues during integration.
  • Other duties as assigned.

What You Bring

  • J.D. from an accredited institution with outstanding academic credentials
  • Admission to a State Bar within the United States
  • Minimum 10 years’ experience working for a top tier law firm and/or in-house for a public company.
  • Demonstrated legal expertise in M&A, securities law and corporate governance.
  • Extensive experience in managing complex M&A transactions, preferably within the technology or financial services sector.
  • Excellent writing, analytical, negotiation, communication, strategic thinking, and presentation skills
  • Strong understanding of corporate and securities laws, regulations, and industry standards.
  • Strong leadership, attention to detail, problem solving abilities and organization/prioritization skills.
  • Demonstrated ability to successfully work with a team and in a fast paced, dynamic team environment.

_ The Pay: Axon is a total compensation company, meaning compensation is made up of base pay, bonus, and stock awards. The starting base pay for this role is between USD 240,000 in the lowest geographic market and USD 360,000 in the highest geographic market. The actual base pay is dependent upon many factors, such as: level, function, training, transferable skills, work experience, business needs, geographic market, and often a combination of all these factors.
