Meta is seeking a Director and Associate General Counsel to join the Legal department’s Corporate Governance team. The successful candidate is expected to operate independently in a fast-paced environment and work proactively with various teams across the organization, including executive operations, human resources, and finance.

Director & Associate General Counsel, Governance Responsibilities:

  • Advise on governance best practices for public company’s independent board of directors and executive management, including relevant aspects of Delaware Law and listing standards.
  • Provide input and direction on materials provided to the board of directors and ensure proper maintenance of books and records.
  • Work closely with cross-functional partners on board compliance and development initiatives.
  • Direct efforts to maintain corporate formalities in accordance with best practices.
  • Develop, enhance and maintain board policies and practices.
  • Collaborate with cross-functional partners on board and executive compensation matters.

Minimum Qualifications:

  • J.D. degree.
  • 12+ years of relevant legal experience.
  • Membership in at least one state bar.
  • Experience in interpretation and application of Delaware law.
  • In-house Corporate legal and Governance support of Fortune 500 public company board of directors.
  • Experience leveraging organizational skills and strategic thinking, and experience working with cross-functional teams.
  • Experience related to legal issues pertaining to executive compensation and related disclosure.
  • Experience working with other subject matter experts in all facets of governance including talent management and HR.
  • Superior communication skills with attention to detail.

Preferred Qualifications:

  • Prior experience with a Fortune 100 company.
  • Prior experience with AmLaw 100 law firm.
  • Deep expertise in interpretation and application of Delaware law.
  • Extensive work related to legal issues pertaining to executive compensation and related disclosure. Regular interactions with C-suite.
  • 5+ years in-house experience working with independent public company boards.
  • Demonstrated record of increasing responsibility and interaction with executive management.

$274,000/year to $352,000/year + bonus + equity + benefits

Individual compensation is determined by skills, qualifications, experience, and location. Compensation details listed in this posting reflect the base hourly rate, monthly rate, or annual salary only, and do not include bonus, equity or sales incentives, if applicable.
