Sr. Counsel - Healthcare Regulatory & Transactions

Description:

McKesson's well-regarded General Counsel Organization is seeking an experienced healthcare lawyer with regulatory experience to support the Strategic, Community and Specialized Pharmacy (“SCS”) segment of McKesson's Pharmacy Services and Solutions business unit. The SCS segment provides clinical support, disease-management and other value-added services to retail pharmacies and interacts with payors and pharmacy benefit managers for network participation and performance-based arrangements for retail chain pharmacies, physician dispensing offices and community pharmacies.

The Senior Counsel is an independent, business-minded, healthcare-focused, transactional and regulatory attorney who serves as a highly visible point of contact for a wide array of legal and business matters. This position will be dedicated to supporting the Office of Health Mart within the SCS segment. Reporting to the Managing Chief Counsel, SCS, and working directly with the business team, the Senior Counsel possesses exceptional professional judgment and provides decisive day-to-day legal counseling and advice to all levels of the organization, including all of the following:

Primary responsibilities:

• Provides day-to-day legal support for the Office of Health Mart businesses, including: legal support for retail pharmacy operations, clinical support programs and value-added service offerings; review of pharmacy- and patient-facing initiatives and marketing; payor/PBM contract drafting and negotiation with payors/pharmacy benefit managers, retail community pharmacies, hospital-affiliated pharmacies and small chain pharmacies; and counseling on legal aspects of PSAO operations (e.g., customer credentialing, antitrust compliance, data integrity, contract compliance);

• Provides legal support for the Health Mart franchise system, including counseling on patient-facing clinical programs and services; reviewing marketing materials; and overseeing franchise disclosures and regulatory filings;

• Provides health care regulatory advice (AKS, FCA, Privacy, CMS and state rules and regulations) related to arrangements with payors, pharmacy benefit managers and pharmacies;

• Serves as the key legal advisor to business unit leadership on a wide array of topics relating to the Office of Health Mart segment needs, including legal risk mitigation, customer and payor/pharmacy benefit manager relationship management, strategic initiatives, compliance programs, and proposed joint venture arrangements and acquisitions; and

• Frequently interacts with other internal legal, compliance, and business stakeholders across functional groups, as well as specialized outside counsel.

Qualifications:

·       7+ years of corporate law experience

·       Excellent commercial contracting drafting and negotiation skills

·       Knowledge of healthcare fraud and abuse laws and HIPAA

·       General understanding of managed care and Medicare laws

·       Ability to provide sound, clear legal advice within the company, including senior business executives

·       Ability to adapt communication style depending on the recipient's level of sophistication about legal issues

·       Comfortable working on multiple projects concurrently

·       Business acumen dealing with risk management and organizational savvy

·       Ability to work closely with, facilitate interactions within, and influence large cross-functional teams (including representatives from other areas of the General Counsel Organization regulatory and compliance professionals, sales professionals and operations managers)

·       Must be a team player who can develop strong working relationships and work collaboratively with internal clients and other members of the legal team

·       Juris Doctor Degree with excellent academic credentials

·       Member of a jurisdiction is required

Critical Skills

• Law firm experience combined with in-house experience, preferred

• Excellent commercial contracting drafting and negotiation skills

• Knowledge of healthcare fraud and abuse laws and HIPAA

• General understanding of managed care and Medicare laws

• Ability to provide sound, clear legal advice within the company, including senior business executives

• Ability to adapt communication style depending on the recipient's level of sophistication about legal issues

• Comfortable working on multiple projects concurrently

• Business acumen dealing with risk management and organizational savvy

• Ability to work closely with, facilitate interactions within, and influence large cross-functional teams (including representatives from other areas of the General Counsel Organization regulatory and compliance professionals, sales professionals and operations managers)

• Must be a team player who can develop strong working relationships and work collaboratively with internal clients and other members of the legal team

• Experience with franchise law or retail pharmacy reimbursement and/or payor contracting preferred

Education

  • Juris Doctor Degree with excellent academic credentials

  • Member of a jurisdiction is required
