Overview:

One Inc is seeking a detailed, results-oriented, contracts-focused Paralegal or Contracts Manager to join our growing legal team! For the first couple of months your primary responsibility will be reviewing existing contracts and helping us build a database of all key contract terms. Once completed you will work as a contracts manager, drafting and negotiating vendor contracts, NDAs, amendments/extensions of client agreements, and other documents. You will also be responsible for developing and overseeing the end-to-end processes, tracking, and administration of all non-sales contracts for One Inc. You will work hand in hand with our General Counsel, Deputy General Counsel, and other business executives.

Key Responsibilities:

  • Review all existing company contracts and log certain terms and conditions from each contract into a database in Salesforce. Handle additional contract management duties as requested.
  • On behalf of Legal, (1) draft and negotiate agreements with the company’s suppliers and vendors, nondisclosure agreements (NDAs), extensions and amendments of sales contracts, and other low to medium complexity agreements, and (2) partner with the business owners and escalate issues to the DGC and GC as necessary.
  • “Own” the Legal Contracts database (existing) and the Contracts Metadata Database (you will help build).
  • Design, build, and manage a soup-to-nuts vendor contract management process:
    • Establish an intake process/progress flow that allows for capture of high-level information about the vendor, tracks contract status, and tracks contract approvals.
    • Coordinate across relevant stakeholders (e.g., department requesting the contract, and InfoSec in circumstances a vendor will be handling personally identifiable information).
    • Ensure all necessary stakeholder approvals are obtained, coordinate signatures, handle contract filing and ensuring copies are sent to relevant persons.
    • Create a process and routine and assume responsibility for tracking expirations/renewals of vendor agreements, which is today handled by the responsible business team.
    • Help identify sub-standard terms in vendor contracts and drive better terms.
    • Record and log metadata for all vendor contracts in the Contracts Metadata Database.
  • Maintain tight organization of the contracts database.
  • Support the RFP process.
  • Negotiate and manage all NDAs, whether client or vendor or other. Coordinate with Sales Operations to manage NDAs for client agreements.
  • Run queries on contract terms that arise from leaders.
  • Manage contract templates and help drive regular updates to primary client agreement templates.
  • Build and maintain a Legal Sharepoint site.

Skills:

  • Paralegal or contracts management role in a high volume, fast paced, enterprise environment.
  • Strong contract negotiation and contract management experience are absolutely essential. You are likely an experienced commercial contracts paralegal or contracts manager, or perhaps an attorney who has contracts experience and prefers contract management. You must have a very good understanding of core contractual terms and how they operate and interrelate (e.g., indemnification, limitation of liability, liquidated damages, etc.). You must be able to identify contractual risk and be confident in negotiating ways to mitigate it.
  • Experience with vendor contracts specifically is strongly desired, as is good business acumen.
  • Experience developing a contract tracking and administration process would be very helpful.
  • Legal experience in payments, fintech, insurance, and/or SaaS industries would be a plus.
  • Exceptional attention to detail.
