Job Description

Here at Norstella we are looking for an enthusiastic and hardworking Legal Counsel - Corporate to join our dynamic Legal Team. In this role, you will be responsible for advising on a wide range of corporate transactions, including mergers, acquisitions, divestitures, joint ventures, and strategic partnerships. You will play a pivotal role in negotiating, structuring, and execution of complex deals, ensuring compliance with legal and regulatory requirements, and protecting the Company’s interests. In this role, you will also be supporting other corporate level issues including the Company’s equity compensation program, debt and financing agreements, board issues, and maintaining director and officer slates.

Key duties and responsibilities

  • Provide expert legal advice on M&A activity, corporate finance, securities laws and regulations, and corporate law
  • Draft, review, and negotiate transaction documents such as merger agreements, purchase agreements, and joint venture agreements
  • Oversee due diligence to assess risks and opportunities in potential transactions
  • Liaise with external counsel, investment bankers, and other advisors to lead and support other corporate level work as needed
  • Monitor legal and regulatory developments in areas of expertise including M&A, corporate governance, and corporate finance
  • In collaboration with Corporate Secretarial Team, provide day-to-day support on corporate governance issues including, but not limited to, quarterly board meetings, director appointments and removals, and other corporate level work as needed
  • Partner with other internal stakeholders to support the Company's equity compensation program
  • Partner with finance and other internal terms, as needed, to lead and support the Company’s debt and financing arrangements

Key requirements

  • Licensed to practice law in the U.S. or UK
  • Four plus years of overall prior legal experience at a law firm, in-house corporate legal department or both
  • Significant M&A experience including experience leading transactions from beginning to conclusion
  • Prior corporate governance experience required and preferably with multinational corporations
  • Prior experience with corporate finance including, but not limited to, reviewing and managing debt and finance agreements
  • Practical, business-oriented lawyer able to provide strategic advice and guidance to internal teams within the Company's risk tolerances
  • Ability to work independently and manage multiple issues and priorities in a fast-paced environment
  • Organized and familiarity with Office 365 tools

Preferred Qualifications

  • Prior experience with or exposure to equity compensation programs preferred but not required
  • Prior experience with or exposure to labor & employment issues impacting multinational companies preferred but not required
  • Understanding of securities laws and regulations preferred but not required
  • Excellent negotiation, communication, and analytical skills
