Job Overview :
We are seeking a commercial attorney having practical experience in reviewing, negotiating, and managing contracts as well as advising internal stake holders on contract terms and issues, as well as other legal issues that may arise in a corporate environment. The right candidate will have basic corporate generalist experience in reviewing and negotiating various business contracts. Strong interpretation and communication abilities is critical to the success of this position, as is the ability to learn and work with common business software and technology. A well-organized self-starter who can successfully juggle numerous simultaneous projects in a fast-paced business environment will receive the highest consideration. This position is based in our corporate headquarters in Woodcliff Lake, NJ and will report to PCHI’s SVP, General Counsel.
Responsibilities And Duties:
- Advise PCHI business units across all of its global locations, as needed.
- Advise and collaborate with the business units at all levels of the company to review, revise, summarize, and negotiate company contracts, including master services agreements, license agreements, consulting agreements, commercial leases, and other commercial contracts, as necessary.
- Assist in the administration of contracts and oversee the contract management system for assessing, assigning, and managing commercial contracts and other legal requests from the business units.
- Review and interpret contract terms and clearly and concisely advise the business units on contract rights and obligations.
- Lead the development and refinement of our internal governance documentation.
- Build and maintain efficient and effective processes and standards to support the compliant facilitation of revenue-generating products and strategic corporate initiatives.
- Work closely with internal legal team on all aspects and dealings of the company’s legal department, reporting directly to the General Counsel.
- Assist in all aspects of business acquisition and other business transactions that the company or any of its subsidiaries may be engaged in from time to time.
- Create and provide playbooks, guides and training to other legal team members and cross-functional stakeholders on areas within the purview to ensure PCHI has a consistent and clear position on applicable laws, regulations, and relevant self-regulatory frameworks.
- Keep apprised of changes in the law that affect company relationships, contracts and transactions.
- Track new legislation to help analyze and communicate, both internally and externally, the implications of changing U.S. and international laws.
- Advise on multi-jurisdictional regulatory compliance on key company initiatives.
- Prepare, review, and deliver internal advisory materials outlining pertinent legal issues and changes.
- Lead departmental efficiency by keeping apprised of and utilizing existing and emerging technology to organize and manage company contracts and other responsibilities of the legal department.
- Engage, partner with, and actively manage outside counsel when needed.
- Provide other legal advice, counsel, and participate on special projects and initiatives as needed.
Skills Required:
- Must be able to read, analyze, and interpret complex documents.
- Must have the ability to synthesize, summarize and simplify complex legal issues into easily understood concepts.
- Must have strong oral and written communication and interpersonal skills.
- Must have a dedicated work ethic, including a strong desire to learn and achieve excellence while growing with the legal team.
- Must be adept in drafting, reviewing, and negotiating business contracts.
- Must display excellent business judgment and analytical thinking.
- Must be able to work collaboratively with business units and in a team environment.
Qualifications:
- Must have 2-4 years’ experience at a top law firm employment practice or in-house role, with in-house experience strongly preferred.
- Must have a Juris Doctor from an accredited law school and be a member, in good standing, of the New York Bar or a bar of another state.
