Our fast-paced environment and dynamic global Legal department is eager for a mover and shaker to step into this role and become an integral part of our team. About the role The Paralegal will assist on a wide variety of M&A integration matters but will focus on the global corporate governance, treasury and IP related matters. Integration responsibilities will cover many areas including updating corporate secretary records, drafting resolutions and consents, transitioning intellectual property management to Aptean’s outside counsel, reviewing agreements, virtual filing, attending status meetings and preparing updates, and compliance support (export, anti-corruption and privacy). The position will work closely with team members throughout the legal department and with internal clients, including Corporate Development, Finance, and Marketing. You will also:
Work with various stakeholders, outside counsel, and cross-functional teams to ensure execution and drive issue resolution in a timely manner
Prepare presentations, coordinate meetings, document decisions, and follow-up on actions
Schedule and track post-closing items and send out post-closing deal reminders
Own our filing system for deal document retention/organization/tracking
Obtain signatures on deal documents
Assist with filings
Assist in internal reorganizations of subsidiaries and with creation and maintenance of domestic minute books
Lead KYC process
Assist with diligence review
May assist with some administrative matters
Generally respond to the unexpected in a fast-moving technology company
About you We are seeking a highly motivated, proficient and detail-oriented individual to join our growing legal team. Typically requires a minimum of 1 year of related experience with a Bachelor’s degree or equivalent work experience. Typical range is 1-3 years. Knowledge:
