Primary Purpose
- Simon Property Group is seeking a corporate senior paralegal to join its Legal Finance Department. Candidates for this position should have 3 or more years of experience as a corporate/transactional paralegal in a law firm or in-house legal department.
Principal Responsibilities
- Work directly with in-house attorneys on a broad range of corporate transactions, including acquisitions and divestitures, joint ventures, equity investments and financing transactions.
- Assist with legal aspects of transactions, including organizing data rooms, conducting due diligence, completing KYC/AML requests, and preparing and distributing closing sets.
- Prepare documents in connection with the formation/dissolution of business entities, including certificates of incorporation/formation, bylaws/operating agreements, etc.
- Prepare written consents, resolutions, certificates and other required corporate documents and records.
- Obtain and disseminate certified copies of organizational documents, corporate filings and other relevant corporate documents and records.
- Assist in obtaining required state and local governmental approvals.
- Coordinate the execution and delivery of signature pages and other closing deliverables.
Minimum Job Requirements
Skills, Knowledge and Abilities:
- Must be detail oriented and have strong time management and organizational skills.
- Experience with corporate governance and corporate transactions.
- Ability to proactively identify issues and take necessary corrective actions within the scope of the position’s responsibilities (including, escalating the issue to the appropriate responsible party).
- Must possess excellent written and oral communication skills.
- Must be able to work both independently and collaboratively as part of a team.
- Must be proficient with Microsoft Office programs, particularly Word and Excel.
- Ability to operate standard office equipment, including computer, printer, telephone, photocopier, scanner, etc.
- Familiarity with real estate industry (preferred but not required).
Required Experience And Education
- A bachelor’s degree is preferred, but the candidate may have a paralegal certificate.
- At least 3 years corporate/transactional paralegal experience with an in-house legal department or a law firm.
