About the job Building Material Distributors, Inc. (BMD) is seeking an experienced attorney to build out the BMD legal team as the BMD General Counsel. Duties and Responsibilities The General Counsel will perform the following duties for the benefit of BMD and its subsidiary companies:

  • Provide counsel and legal guidance to all levels of management, including senior management, concerning legal obligations and responsibilities applicable to the Company.
  • Assist in a variety of legal, quasi-legal, compliance, corporate governance, and corporate risk activities and initiatives.
  • Consult with, direct, and/or refer matters to capable outside counsel as required.
  • Develop and implement an effective process to track and report to the CEO and CFO all legal actions and status: including insurance cases, employment cases, product claims, construction claims, trademarks, facility issues, environmental, and other areas that arise.
  • Assist with, analyze, and advise regarding dispute resolutions, litigation, and pre-litigation matters.
  • Direct, manage and develop strategies for responding to complaints filed with government agencies and other administrative matters.
  • Collaborate with operational leaders to identify and mitigate risk, and to develop solutions to problems that arise during operations that could result in legal or financial liability.
  • Advise internal clients concerning matters related to employment law, government contracting, construction law, contract law, and environmental law.
  • Work with management and internal controls department to negotiate and prepare a variety of contractual documents including, but not limited to, licenses, contracts, non-disclosure agreements, and notices.
  • Assist in corporate governance matters, including reviewing and drafting operating agreements, resolutions, appointments, and other documents associated with corporate actions and transactions.
  • Conduct legal research and prepare written opinions based on that research.
  • Review documentation and assist with activities associated with mergers and acquisitions.
  • Assist in the development of policies and procedures.
  • Prepare materials and conduct training for internal business partners in relevant legal matters.

Required Education, Experience, and Skills Only candidates demonstrating the following skills, experience, and education will be considered for the position.

  • Juris Doctorate Degree received from an accredited law school.
  • Admission to practice in the United States
  • Extensive experience with construction law and insurance claims
  • A minimum of six (6) years practicing law in a firm or corporate in-house setting.
  • A minimum of three (3) years litigation experience or five (5) years in a transactional, construction-focused practice.
  • Excellent written and verbal communication.

Preferred Education, Experience, & Skills Candidates who demonstrate the following skills, experience, and education will receive preferred consideration:

  • A degree or certificate in Construction Management, Architecture, or Engineering.
  • Experience litigating construction disputes.
  • Experience in the following practice areas – M&A, GovCon, Construction Law, or Environmental Law.
  • Creative problem solving; aptitude to work collaboratively; ability to effectively and efficiently manage multiple time-sensitive projects simultaneously.
  • Strong leadership skills and client-service orientation.
  • Ability to manage and prioritize workload.
