Take on a pivotal role with our client as a Corporate Paralegal in New York, NY. This in-office position supports the legal team with a wide range of responsibilities, from drafting and reviewing agreements to assisting with corporate governance and regulatory compliance. You will be instrumental in ensuring seamless operations within a high-paced hedge fund environment while collaborating across departments to deliver exceptional legal support.
Compensation: $90,000 – $105,000/year + bonus
Location: New York, NY
Schedule: Monday to Friday (In-Office)
Responsibilities as the Corporate Paralegal:
- Corporate Governance: Establish corporate entities and prepare supporting legal and regulatory documentation, such as resolutions, certificates, and operating agreements.
- Document Preparation: Draft, review, and negotiate legal documents, including confidentiality agreements, engagement letters, and vendor agreements.
- Compliance Oversight: Assist with securities filings, regulatory reporting, intellectual property matters, and monitor compliance with contractual obligations.
- Transaction Support: Facilitate corporate transaction closings and coordinate with external service providers.
- Investor and Team Support: Review subscription documents, prepare presentation materials, and provide operational support for departmental projects.
- Resource Management: Maintain and update form agreements and other legal department resources.
Qualifications for the Corporate Paralegal:
- Education: Bachelor’s degree in Legal Studies, Business Administration, or a related field (paralegal certificate is a plus).
- Experience: 1-3 years of experience in a corporate legal environment, preferably at a Big Law firm.
- Skills: Strong analytical, organizational, and legal drafting skills, with the ability to communicate complex legal matters effectively to diverse audiences.
- Technical Skills: Proficient in Microsoft Office Suite (Word, Excel, PowerPoint) and other relevant tools.
- Attributes: Self-motivated, organized, and collaborative, with a professional demeanor and ability to manage tasks in a fast-paced environment.
