A leading construction management software company is seeking to engaged a senior, skilled corporate and securities attorney on a contract basis. This is a full-time (40 hours per week) contract for an initial 3 month term, on a w2 basis with benefits (health, dental, vision, 401k).

Title: Corporate and Securities Counsel Location: Remote (United States) Hours: 40 Hours / Week Duration: 3 Months (From 4/21/2025 until 7/21/2025) Pay Rate: $105 - $125 / hr

Job description:

  • 5 + years of relevant M&A experience and other corporate generalist experience, including corporate governance, ventures, international expansion, and subsidiary management experience gained at law firms and in-house legal departments (ideally at a SaaS or other technology company) in roles of increasing responsibility
  • The ideal candidate has (i) strong M&A experience so they can be the point of contact for M&A deals (assuming 1-2 per quarter), (ii) some international subsidiary experience so they can supplement the existing team, and (iii) the ability to backfill on all other Corporate & Securities functions when not running deals.
  • In this role, you’ll work with stakeholders across the organization to provide practical legal advice and negotiate and execute on a broad range of corporate, securities law, corporate governance, ventures, and M&A initiatives.
  • As a Counsel, Corporate, Securities & M&A, you’ll partner with and advise global cross-functional teams, including Corporate Development, Investor Relations, Financial Reporting, Internal Audit, Stock Administration, Accounting, Tax, and Treasury teams on a wide range of corporate legal projects. This exciting new position will play an important role in the company’s continued growth and success. This position reports to the company's Associate General Counsel, Corporate, Securities & M&A and can be based in any of the company's U.S. offices or remotely within the U.S.

What you’ll do:

  • Support company activities on all capital markets and other strategic transactions, including M&A, corporate venture investments, corporate financing transactions, and related workstreams
  • Partner with other members of the Legal Department, support the company's global corporate structure, including the creation of new and maintenance of existing entities and intercompany agreements
  • Keep current on applicable corporate governance developments, market trends, and best practices to ensure continued compliance and identify emerging trends and risk
  • Establish appropriate policies, processes, and systems in areas of coverage that enable the company to grow and scale effectively, including subsidiary entities as appropriate
  • Provide advice and counsel to business team leaders on legal matters affecting areas of coverage, in consultation with other members of the Legal Department and outside counsel as necessary
  • Engage in or lead various Legal Department projects and duties as needed

Who you are:

  • J.D. and admission, active and in good standing, with at least one state bar
  • 5 + years of relevant M&A experience and other corporate generalist experience, including corporate governance, ventures, international expansion, and subsidiary management experience gained at law firms and in-house legal departments (ideally at a SaaS or other technology company) in roles of increasing responsibility
  • Familiarity with public company accounting, tax and finance processes, terminology, systems, and issues, including a basic knowledge of financial statements, GAAP accounting, and tax matters preferred
  • Highly analytical with exceptional business and legal issue identification and problem-solving skills
  • Passionate about technology and energized by the challenges of serving a dynamic, hyper-growth company
  • Highly detail-oriented, organized, proactive, efficient, and resourceful with exceptional follow-through skills
  • Ability to simultaneously manage workloads, multiple client demands, and shifting priorities within a fast-paced, high-intensity, and rapidly evolving environment

  • Ability to operate autonomously while being a team player who brings a positive, “can-do” attitude and works collaboratively with other members of the Legal Department and organization
