Posted Apr 03 Full TimeNorristown, Pennsylvania The Counsel, Contracts will report to the Deputy General Counsel, supporting the Chief Legal Officer, and provide legal support and advice on a wide variety of matters related to MRO Corporation (MRO) and its subsidiaries. The Counsel position requires an understanding of contract law, experience building strong business relationships, and negotiation skills.
Tasks And Responsibilities
- Leading the legal contracts function, including the drafting and reviewing of complex contract language and contract negotiations particularly those related to contracts with various types of health care clients, providers and employer groups or government contracts, including Master Services Agreements, Business Associate Agreements, Indemnity, Limitations of Liability, and State Medicaid Contracts
- Managing the contracting process, including the onboarding of new technology
- Negotiating contract terms with internal business partners, clients, vendors, and third parties
- Providing legal advice on contract interpretation and obligations
- Serving as a resource for the Marketing Department and all related matters, including Marketing Reviews, RFP Reviews, Press Releases, Articles, Blogs, Podcasts, and Website Copy
- Interacting with management and all levels of corporate personnel to obtain information and provides counsel regarding sensitive and complex legal issues
- Ensuring compliance with all applicable laws and regulations
- Identifying and mitigate potential legal risks within contractual agreements
- Maintaining organized records of executed contracts and related documents
- Collaborating with other departments to gather necessary information for contract review
- Resolving any contract-related disputes or issues
- Updating contractual policies and procedures as needed to align with current laws, regulations, and client policies
- Conducting legal research to support contract review negotiations
Education And Qualifications
- Juris Doctor Degree (JD) from accredited law school
- Licensed to practice law by the bar of at least one state
- 3+ years of experience in a multi-client law firm, health insurer, hospital, or similar organization
- 3+ years of health care related legal experience
- Demonstrated experience in a law firm and/or in-house corporate law department required
- Strong knowledge of corporate transaction practices
- Strong interpersonal, writing, and verbal communications skills
- Ability to interact with all levels of management
- Strong organizational skills and the ability to work under pressure, meet deadlines, and able to work independently and as a part of a team to prioritize responsibilities, take initiative and self-motivate/self-manage work and time
