Fosun Pharma USAStrategy and Differentiation

The Role:

The Director for Legal will report to the Vice President, General Counsel and partner together to address the legal and regulatory activities of the Company with a heightened focus on the legal needs of Fosun’s Established Medicines business unit. The candidate will provide legal guidance and support on matters affecting the Established Medicines business unit, including IP management, contract negotiation, business development and operational support. Additionally, the candidate will substantially assist the General Counsel on a full range of legal and regulatory matters affecting the Company.

Main Responsibilities:

  • Review, draft, and negotiate relevant agreements in support of the Established Medicines business unit

Draft, review and negotiate term sheets and definitive agreements, including asset purchase agreements, development agreements, sales agreements, licensing, supply, quality, confidentiality, trade relations, master service, CRO, CMO, SOW, and pharmacovigilance agreements;

  • Support General Counsel, Fosun Pharma USA, Inc.

Coordinate with and assist the General Counsel on contract, litigation, policy, compliance, and regulatory matters that are significant Company-wide as needed.

  • Intellectual Property for the Established Medicines Business Unit

Assess IP landscape and provide opinion and advice on Established Medicines product/project IP positions and strategies;

Work with outside IP counsel and manage assessment of IP positions; prosecution and registration of the IP of the Established Medicines business unit; and any IP litigations as applicable

  • Coordinate with the General Counsel to provide support on:

Day-to-day policy and legal questions raised by the business Management of outside counsel on litigation and other legal matters Employee related legal matters in partnership with HR FDA-related legal matters in partnership with Regulatory Affairs Developing and providing training on legal and policy matters affecting the Company Other relevant responsibilities will be assigned when needed

Requirements:

  • Juris Doctor (J.D.) degree and Bar Admission in good standing
  • 2+ years’ previous experience in Pharmaceutical or Healthcare environment required
  • 4+ years’ legal experience in a corporate environment or law firm required
  • Scientific/technical knowledge (chemistry, biology) preferred but not required
  • Knowledge of relevant laws and regulations
  • Excellent verbal and written communication skills with an ability to communicate complex legal and compliance matters
  • Strong analytical skills and attention to detail, with an ability to work independently
  • High level of integrity and uncompromising ethical principles, particularly as it relates to the attorney-client relationship and compliance with laws and regulations
