Paralegal - Corporate Compliance Administrator

The paralegal will be responsible for supporting six busy attorneys in a dynamic in-house legal department. S/he will be the point person on all corporate, entity management and regulatory matters, owning various related systems/solutions and associated reporting. This person will work with other legal team members, including a litigation paralegal / vendor contracts administrator, to elevate a strong legal team at the heart of a growing company.

Duties And Responsibilities

  • First Line Legal Support. Provide first line support and resources with respect to voluminous inquiries to and requests of the legal department from internal and external business partners, either providing resources/answers directly or providing direction to the appropriate resource for support. Update Legal “Hub” quarterly and prepare / update strategic resources for internal clients to support system use and standard operating procedures.
  • Corporate Entity Management. Form, manage, and dissolve (as necessary) for each of the 200+ Paradies Lagardère entities (mainly LLCs), including completing/filing all required documents for formation with applicable Secretary of State entities, filing ongoing annual/required reports, drafting and publishing meeting minutes, maintaining registered agents, and tracking/dissolving entities following cessation of business. Own and administer relationship with CSC including order requests and billings.
  • Corporate Records Management. Maintain all corporate records, including organizational charts, capitalization/FEIN charts and corporate minute books (as well as parallel electronic document files) for all 200+ entities in keeping with corporate compliance mandates, company protocols and operating agreement requirements, while also updated records for parent company’s Galaxy Portal (entity tracking solution), company contract lifecycle management system (Conga), CSC entity management system, and physical file room locations.
  • New Lease Documents. Own company-wide cataloging/organization, distribution, and smart filing in various repositories (including within corporate / lease file shared folders, CSC entity management system and CLM system), and (internal and external) audits of all airport leases and related ancillary documents, such as notices, side-letters, and addendums, according to required naming convention in central locations for access by appropriate business and finance stakeholders.
  • Invoicing and E-Billing Solution Administration. Own and administer legal invoicing function, including but not limited to e-billing system, coordination with firm billing departments, timekeeper compliance, report running and training/general support for legal team and other users.
  • Systems Ownership / Vendor Management. Own various legal systems / databases, including CSC entity management, Legal Tracker, Galaxy (on behalf of PLTR), and Legal Hub.
  • Develop, implement, and maintain meaningful, data-driven reporting, dashboards, and matrices related to critical corporate compliance initiatives, including ACDBE Compliance, entity management, restrictive covenants, and requests for proposal/airport tenders.
  • Requests for Proposals / Airport Tenders. Assist with RFP-related work, including input of legal-related information for submittal forms, preparation of entity information (and documents), and support resulting ACDBE compliance going forward.
  • Corporate Initiatives. Serve as paralegal lead and general support for all corporate initiatives that may arise from time to time, including any M&A activities, integration efforts, synergies/efficiency efforts and other company initiatives.
  • Special Projects. Support and assist staff with various special projects, administrative items, corporate compliance, and reporting.
  • Team Backup and Support. Learn the roles and duties of other paralegal and license professionals to provide backup and support for each.
  • Committee Backup Support. Provide support to the Legal Team representative on the Business Continuity and Safety Committees and in other endeavors.

Position Qualifications

  • 5+ years of experience as a corporate paralegal or in contract management
  • Proven strength with respect to Corporate Entities / Regulatory Compliance / Record Management & Reporting
  • Excellent organizational skills, initiative/ownership, intuitiveness, detail orientation, responsiveness, interpersonal skills, sensitivity to confidential information, and a can-do attitude
  • Interpersonal skills to effectively communicate with internal and external parties
  • Adept, creative and effective problem-solving skills and affirmative goal-oriented iniative.
  • Demonstrate attention to detail with strong prioritization and organizational skills to maximize efficiency, ensuring deadlines are met.

  • Adept systems administration skills in terms of developing workflows, driving creative solutions, trouble-shooting, and running reports
  • Microsoft Office (Word, Outlook, Excel, PowerPoint), Adobe, legal research, and strong computer skills
  • Office and department administration
