General Counsel

We are looking for a talented attorney with a background in ecommerce and contract law to provide dedicated legal support for 360 and its business leaders. Initially, the role is a key individual contributor with an opportunity to add and develop legal staff as the continued rapid business growth and completed acquisitions warrant. Duties will include advising on regulatory and compliance matters, privacy policies, intellectual property issues, commercial terms and conditions with customers and suppliers and leading the legal efforts in the Company’s merger and acquisition efforts including developing and negotiating purchase agreements and related documents and leading the legal due diligence of all acquisition targets. Centralizing, organizing, maintaining, and curating all legal documents and records will also be an essential part of this role.

The successful candidate will be a creative problem-solver, will go beyond simply issue spotting, and will have a can-do and whatever-it-takes attitude. We’re looking for an attorney who is fast-moving, strategic, has good judgment, and understands the business needs while assessing legal risk. This position will report to the Chief Financial Officer and partner heavily with other executives and business leaders.

Responsibilities

  • Review, negotiate and document all contract matters related to 360, managing an array of general contractual matters
  • Manage relationships with and usage of all outside attorneys
  • Establish and maintain detailed knowledge of 360 products, services, and brands
  • Craft contractual agreements for simple and complex business transactions
  • Work with internal stakeholders and attend meetings with external parties as needed
  • Prepare and maintain legal templates for recurring types of relationships
  • Work with sales teams to review, negotiate, and close customer contracts, including meeting with and interacting with customer counterparts
  • Serve as trusted partner to internal stakeholders and provide day-to-day legal support promptly and effectively
  • Build critical relationships with sales executives and other business leaders in order to effectively provide practical legal and strategic advice and assist the business in meeting its objectives.
  • Ensure that all 360 agreements are properly updated and maintained
  • Maintain all 360 legal agreements and records in a single centralized location in a logically organized manner
  • Lead the legal due diligence for all acquisition prospects and advise business leaders of potential issues and concerns
  • Partner with HR Team to advise, support, and maintain compliance with all relevant laws as it relates to employee matters including company handbooks, policies, and procedures

Qualifications

  • Must have a law degree and passed the bar
  • 7+ years of corporate legal experience
  • Must have relevant knowledge of online privacy and contracting terms E.g. California Consumer Client Protection Act
  • Must have experience with writing and negotiating contracts
  • Excellent organizational skills, ability to manage multiple projects at once, follow through and meet deadlines
  • Ability to work independently while contributing successfully to cross-functional teams
  • Strong interpersonal and negotiation skills
  • Strong analytical and problem-solving skills
  • Must be able to find alternative proposals to help close deals when legal risks exist
  • “Can do” attitude and willingness and desire to do whatever it takes
