We are seeking an experienced and strategic Head of Legal to lead our legal function and provide expert counsel on a broad range of matters, including employment law, SaaS contract/vendor management, partnerships, litigation, acquisitions, and corporate governance. This role requires a highly adaptable, process-oriented leader with the ability to shift contexts quickly and operate effectively in a high-growth SaaS environment.
Key Responsibilities
- HR & Employment Law: Advise on employment-related legal issues, ensuring compliance with labor laws, policies, and best practices in a remote-first, multi-jurisdictional workforce.
- SaaS Contract & Vendor Management: Negotiate, review, and manage software licensing agreements, vendor contracts, and service-level agreements to protect company interests.
- Partnership Management : Structure, negotiate, and execute partnership agreements, including referral, reseller and affiliate arrangements, ensuring alignment with business objectives.
- Litigation Oversight : Manage and coordinate legal disputes, litigation, and regulatory inquiries, working with external counsel as needed.
- Acquisition Support : Provide legal oversight during M&A activities, from due diligence to integration, ensuring legal risks are identified and mitigated.
- Financings & Capital Raises: Advise on and manage the legal processes involved in equity and debt financings to support corporate growth initiatives.
- Corporate Governance : Oversee governance processes, ensure compliance with regulatory requirements, with a particular emphasis on privacy and data protection laws, and advise on corporate structure and policies.
- Strategic Legal Counsel : Work closely with leadership to align legal strategy with business objectives, driving risk-aware decision-making and operational efficiency.
- Negotiation & Risk Management: Lead contract negotiations, mitigate legal risks, and establish processes for scalable legal operations.
Qualifications & Experience
- J.D. degree from an accredited law school; bar admission in a relevant jurisdiction.
- 5+ years of legal experience , with at least 3 years in a leadership role within a high-growth SaaS or technology-driven environment.
- Strong background in employment law, contract negotiation, corporate governance, and litigation.
- Experience handling legal matters in multi-state or global business operations.
- A high degree of initiative and a proven ability to context switch effectively , balancing multiple priorities in a fast-paced environment.
- Process-oriented mindset , with a track record of implementing scalable legal frameworks.
- Exceptional business acumen and ability to balance legal risks with business goals.
