As part of our continued growth, we are looking for an experienced and dynamic Associate General Counsel to join our legal team. Key Responsibilities

Contract Review and Negotiation

  • Review, negotiate, and draft a variety of contracts, including construction contracts, subcontracts, purchase orders, and service agreements, ensuring compliance with company policies, laws, and project requirements.
  • Guide internal stakeholders through contract negotiation strategies to secure favorable terms while minimizing risks.
  • Develop and implement processes for contract review and management to streamline operations across the company.Maintain comprehensive records of contract negotiations and amendments for reference and audit purposes.

Insurance and Bonding

  • Ensure compliance with insurance policies and bonding requirements, liaise with internal risk management and external brokers to protect company interests across all projects.
  • Review and negotiate insurance-related documents, ensuring proper coverage is in place for high-value and complex projects.

Employee Education and Mentorship

  • Lead initiatives to improve contract management procedures and collaborate across departments to ensure the legal department’s effectiveness.
  • Lead training programs for project managers, contract administrators, and sales teams on contract law, risk management, and negotiation tactics.
  • Act as a mentor, providing ongoing guidance to internal teams on navigating complex legal and contractual issues.

Internal Legal Matters and Outside Counsel Management

  • Act as the point person for all internal legal matters, addressing issues such as compliance, employment law disputes, lease agreements, and other corporate legal matters.
  • Develop and maintain processes for risk assessment and awareness ensuring compliance with legal regulations at the federal, state, and local levels.
  • Coordinate with outside counsel for specialized legal matters, ensuring the company receives expert guidance when necessary.
  • Provide legal support in contract disputes, including preparing and defending claims related to construction projects, pre litigation strategies such as demand letters, settlement negotiations and other strategies to avoid litigation.
  • Assist in litigation management and coordinate with external counsel when necessary.
  • Act as a resource for employment laws working with HR and managers on labor law matters, employee disputes, and workplace policies.

Qualifications

  • Education: Juris Doctor (JD) from an accredited law school, active membership in the state bar.
  • Experience: 5-7 years of experience in construction law or contract management, with a strong focus on commercial contracts, claims resolution, and risk mitigation. Experience in the construction industry is essential.
  • Technical Skills:
    • Expertise in drafting and negotiating construction contracts, subcontracts, change orders, and claims management.
    • Strong understanding of commercial insurance, bonding requirements, employment laws, and workers' compensation processes.
  • Interpersonal Skills:
    • Exceptional negotiation, communication, and problem-solving skills.
    • Proven ability to collaborate across departments and work independently in a fast-paced environment.
    • Ability to mentor and guide internal teams through complex contract negotiations.

Preferred Qualifications

  • Experience leading legal efforts on large-scale, high-value construction projects, including commercial and institutional builds.
  • Proven track record of successful dispute resolution and favorable contract negotiations.
  • Experience with mediation and/or arbitration.
