Assistant General Counsel – Institutional Asset Management Location: Midtown, NYC – Hybrid schedule

About the Firm: Our client is a premier global asset management firm with over $200B in AUM, offering a diverse range of strategies including private equity, credit, hedge funds, and traditional investments across equity and fixed income. The firm has a strong track record of investment excellence, deep industry relationships, and a collaborative culture.

The Role: We are seeking a NY Barred Investment Management Attorney with 3-5 years of experience to join the firm’s Legal & Compliance team as Assistant General Counsel. This role will focus on providing legal counsel on private fund formation and structuring, as well as general investment management matters across multiple asset classes. The ideal candidate will have experience at a top-tier law firm or in-house at an asset manager.

Key Responsibilities: -Fund Formation & Structuring – Provide legal advice on structuring and forming private investment vehicles, including open-ended funds, closed-end funds, and funds-of-one. -Offering Documentation – Draft, review, and negotiate offering memoranda, private placement memoranda (PPMs), and side letters. -Regulatory & Compliance – Advise on compliance with SEC and other regulatory requirements for investment vehicles. -Investment Agreements – Negotiate investment management agreements, advisory agreements, and fund documentation. -Cross-Asset Class Exposure – Work across private equity, hedge funds, credit, equity, and fixed income strategies.

Qualifications: -3-5 years of investment management legal experience (law firm or in-house) -New York Bar admission required -Strong background in private fund formation, structuring, and offering documentation -Experience with PE, hedge funds, credit, and/or other alternative investment vehicles -Ability to work independently and collaborate with investment professionals and senior management
