As we continue to grow and evolve, we are seeking a dynamic and experienced Chief Legal Officer and General Counsel (CLO) to join our executive leadership team.
The Chief Legal Officer and General Counsel will serve as a trusted advisor to the CEO, the Board of Directors, and other senior executives, providing strategic legal counsel and expert guidance on a wide range of matters critical to the success and growth of the organization. Reporting directly to the CEO, the Chief Legal Officer will oversee all legal affairs for Amentum and ensure compliance with applicable laws, regulations, and industry standards. This is a unique opportunity to shape the legal strategy and direction of a leading technology company with a global footprint. This is an on-site role in Northern Virginia (Chantilly/Herndon). US citizenship is required; Top Secret security clearance is required; TS/SCI level access is preferred.
Roles and Responsibilities:
- Provide counsel and guidance on legal matters to the organization, including the CEO, Board of Directors, and senior management.
- Promote the mission, vision, and values of the organization.
- Develop and implement comprehensive legal strategies aligned with the company's business objectives and risk profile.
- Lead legal aspects of mergers, acquisitions, divestitures, joint ventures, and other strategic transactions, including due diligence, negotiations, and documentation.
- Manage and mitigate legal risk across the organization, including identifying potential legal issues and implementing risk mitigation strategies.
- Provide strategic leadership and direction to the legal team, fostering a culture of collaboration, innovation, and excellence.
- Manage a team of corporate counsel who are involved in the drafting, evaluating, negotiating, and executing of a wide variety of different contracts covering a range of transactions.
- Oversee corporate governance matters, including board governance, regulatory compliance, and ethics and compliance programs.
- Oversee review of government, non-government, and commercial RFPs and advises management on risks and non-routine obligations required.
- Oversee all litigation and dispute resolution matters, working closely with external counsel as needed.
- Oversee legal matters pertaining to employment and labor.
- Protect and enforce the company's intellectual property rights, including patents, trademarks, copyrights, and trade secrets.
- Monitor legislation, regulations, case law and government enforcement activities relating to all substantive legal areas, and provide proactive, strategic advice within all aspects of the law.

Requirements:
- Juris Doctor (JD) degree from an accredited law school and active membership in good standing with the state bar association of the jurisdiction in which your office will be located (Virginia, Maryland, Washington, D.C.)
- Minimum of 15 years of experience practicing law, with significant experience in corporate law, corporate governance, SEC, and regulatory matters, preferably in a technology or government contracting environment.
- Advanced knowledge of the federal acquisition processes and the applicable laws and regulations governing those processes, including but not limited to the Federal Acquisition Regulations (FAR), DFARS, AFARS, AFFARS, and DOSAR.
- Proven track record of leadership in a legal role, with experience overseeing legal functions in large, complex organizations.
- Strong business acumen and the ability to think strategically and commercially while providing legal advice.
- Excellent communication, negotiation, and interpersonal skills, with the ability to influence and collaborate effectively with stakeholders at all levels.
- Demonstrated integrity, professionalism, and ethical conduct in all aspects of legal practice and commitment to upholding the highest ethical standards to promote a culture of integrity, transparency, and compliance throughout the organization.
US citizenship is required; TS security clearance is required; TS/SCI level access is preferred.
