Assistant General Counsel - Downers Grove, IL - Legal

Position Highlights:

The Assistant General Counsel will be an integral part of the Legal Department providing day-to-day operational legal support for corporate contracting and providing legal advice and counsel on corporate and healthcare matters and various special projects.

Overview

Responsibilities
  • Contract review: Provide legal review and approval of agreements on behalf of Duly Health and Care and its affiliated entities relating to various health care arrangements including, but not limited to: professional services agreements, payor contracts, medical director agreements, vendor agreements;, Business Associate Agreements and clinical research agreements.
  • Legal advice/research: Provide legal advice and conduct legal research with respect to applicable federal statutes, rules and regulations (Stark/AKS) and assist Legal Department in providing legal advice and business counsel to functional areas across organization such as Finance, HR, Marketing, and Operations to resolve potential risk exposure.
  • M&A: Draft and negotiate confidentiality agreements, LOIs, term sheets and conditions, and statements of interest with respect to proposed acquisitions. Assist in legal due diligence in connection with acquisitions and dispositions as well as integration.
  • Litigation: Assist in litigation and other claims related to the management of outside counsel and discovery requests.
  • Real Estate: Assist with real estate documents, lease review, and other real estate related matters.
  • Corporate Record Keeping: Assist with corporate record-keeping matters.
Qualifications

Level of Education
  • Juris Doctor from an ABA accredited college of law required.
  • Member of the Illinois State bar or eligible to sit for the Illinois State bar. 

Years of Experience

  •  1-5 Years of corporate/transactional legal experience.  Previous healthcare industry legal support preferred.  Health care contracting experience preferred.

Minimum Experience

  • Experience preferably should include legal research and writing on healthcare law matters, contract review, M&A, and regulatory matters.
  • Excellent business judgment, attention to detail, initiative, and ability to work both independently/autonomously and as part of a team.
  • Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization
  • Ability to establish and maintain strong relationships within the organization’s legal department and across all business units.
  • Ability to generate ideas and solutions cross functionally within the organization.
  • Work effectively with team members to accomplish objectives and goals.
  • Ability to devise creative practical solutions to difficult legal/business issues.
  • Strong analytical capability combined with superior strategic thinking.

The compensation for this role includes a base pay range of $125K-$188K, with the actual pay determined by factors such as skills, experience, education, certifications, geographic location, and internal equity. Additional compensation may be available through shift differentials, bonuses, and other incentives. Base pay is only a portion of the total rewards package.
