The Opportunity
Abnormal Security’s Legal Department is looking for a world-class senior corporate and securities attorney. Reporting directly to the Chief Legal Officer, this role will be responsible for handling a wide range of corporate, securities and compliance matters. The initial focus will be to partner with the accounting, finance, stock administration and investor relations functions to prepare the company for a potential Initial Public Offering, laying the groundwork for ongoing securities compliance as a publicly traded company. Key Responsibilities:
Lead and manage the legal aspects of the company’s public company readiness process, including corporate governance initiatives, equity incentive plans, capitalization tables, corporate policy updates, disclosure obligations, drafting and reviewing registration statements, and collaborating and coordinating with internal and external stakeholders.Following an IPO, responsible for the preparation and/or review of periodic reports, earnings materials, and other required filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, registration statements, and Section 16 filings.Develop, implement, maintain and provide training regarding internal policies and controls to ensure ongoing compliance with securities laws, including Regulation FD, Regulation G, insider trading policies, 10b5-1, and Section 16 reporting.Collaborate with finance, investor relations, and corporate communications teams to ensure accurate and timely disclosures to investors and the public.Provide guidance on public company governance matters, including board and committee operations and governance, executive compensation, and shareholder engagement.Prepare materials for Board of Directors, committee, and annual shareholder meetings, and draft and maintain corporate minutes and records.Manage the planning and execution of the annual stockholder meeting.Support M&A activity, financing and capital markets activities, strategic investments, and other corporate transactions as they arise.Develop and implement policies, controls, and training to ensure compliance with laws such as the FCPA, UK Bribery Act, and other global compliance requirements.Support subsidiary governance and legal entity management operations globally, including close collaboration with accounting/tax departments on legal entity structuring, intercompany arrangements, and annual filings.Manage external counsel relationships to ensure quality and cost-effective service.
Experience and Qualifications:
JD / US law degree and bar admission in good standing in at least US one stateMinimum of 10 years of relevant experience, including (1) significant experience in corporate and securities law, primarily focused on public companies, at a national law firm, and (2) at least 2 years of in-house corporate and securities practice at a publicly traded technology or B2B SaaS company.Deep knowledge of SEC rules and regulations, Sarbanes-Oxley, Dodd-Frank, listing exchange requirements, and other applicable laws and regulations. Ability to navigate such requirements and provide creative business-oriented solutions.Strong communication skills, with the ability to explain complex legal concepts to business partners.Proven ability to work effectively in a fast-paced, dynamic environment with a collaborative mindset, solution-oriented approach, and ability to build strong relationships and work cross-functionally with internal stakeholders and external advisors.Demonstrated ability to act independently and prioritize tasks to deliver results.High level of integrity, professionalism, and ethical conduct.

Base salary range:
$290,000—$320,000 USD
