Sunnova Energy is seeking an experienced Tax Counsel to join the corporate/transactional section of its legal department. The Senior Tax Counsel will be a key leader within Sunnova's legal department, directly supporting the SVP, Dep General Counsel and Secretary developing and executing comprehensive tax strategies. This position will oversee all aspects of tax planning, including the strategic structuring of M&A transactions, ensuring compliance with tax regulations, and optimizing tax positions to support Sunnova’s growth initiatives. The role will also be responsible for managing tax audits, providing expert tax counsel, and conducting in-depth tax research to proactively identify and mitigate tax risks. The ideal candidate will leverage their extensive experience in tax planning, audit management, and M&A to enhance the effectiveness of Sunnova’s tax function, driving financial efficiency and supporting the company's long-term strategic goals.

Responsibilities

    • Expert Tax Advisory: Consistently provide precise and actionable tax technical and legal advice, focusing on tax equity structures, ITC transferability, and renewable energy tax matters, ensuring compliance and optimal tax positioning that align with Sunnova's strategic goals.
    • Effective Agreement Review: Thoroughly review and provide tax comments and drafting on commercial agreements and tax equity project agreements, ensuring all contractual obligations meet tax compliance requirements and mitigate potential risks.
    • Comprehensive Tax Research and Analysis: Conduct in-depth research and analysis of complex tax issues across various areas, including investment tax credits, M&A, partnerships, and corporate structuring, to provide accurate, audit-ready guidance and strategic tax recommendations.
    • Proactive Tax Quality Control: Establish and maintain rigorous tax quality control standards by preparing detailed memos and documentation for all material tax positions, ensuring audit readiness and protection under applicable legal privileges.
    • Impactful Tax Law Monitoring: Proactively monitor changes in tax laws, effectively communicating potential impacts to internal partners and leadership, enabling timely adaptation of tax strategies to support the company’s financial objectives.
    • Collaborative Problem-Solving: Identify potential tax issues and provide innovative, legally sound solutions that align with Sunnova's business objectives, working closely with other Tax Directors to manage tax audit risks and ensure effective audit outcomes.
    • Interdepartmental Collaboration and External Engagement: Facilitate strong collaboration with external counsel and internal departments, including Corporate Tax, Treasury, and Legal, to align tax strategies with Sunnova's overall financial goals and ensure seamless integration of tax considerations into business decisions.

Minimum Requirements

    • Juris Doctorate (J.D.) from a U.S. law school
    • A minimum 7-10 years of tax planning experience and 3 years of tax legal research experience
    • Strong knowledge of Internal Revenue Code and Regulations and with partnership tax experience
    • Bar admission and member of good standing of State Bar
    • Proven ability to review and provide tax-related input on commercial agreements and tax equity project agreements, ensuring that all contracts are compliant with tax laws and optimized for tax efficiency.
    • Experience in researching and analyzing complex tax issues related to investment tax credits, M&A transactions, partnerships, financing, corporate structuring, and consolidated tax returns, resulting in the formulation of strategic tax recommendations.
    • History of maintaining high standards of tax quality control by preparing detailed, audit-ready memos and documentation for significant tax positions, demonstrating thorough understanding and application of tax regulations.
    • Demonstrated ability to work collaboratively with external counsel and various internal departments, such as Corporate Tax, Treasury, and Legal
