About The Role

Cerebras Systems is seeking an experienced corporate attorney to oversee its corporate legal function, including IPO execution and establishing public company reporting infrastructure, as well as its global employment legal function. This is a critical, challenging, and high impact role, with an opportunity to own several functional areas during a critical period for the company. In addition to providing excellent, business-minded, and creative legal advice, this person will be responsible for building out efficient and sustainable legal processes and infrastructure. The ideal candidate has deep expertise and top tier training in corporate law and public company representation, with a combination of leading law firm and in-house experience. Employment law experience is not required, but a strong desire to learn and broaden their scope is critical.

This role will report to the General Counsel, and will be a director of legal or associate general counsel, depending on candidate experience level.

Responsibilities

  • Support IPO execution and public company readiness, including setting up rigorous and repeatable public company governance and reporting processes.
  • Oversee 1933 and 1934 Act reporting for legal and support finance and investor relations team on earnings.
  • Manage corporate policies, such as the code of business conduct, insider trading policies, anti-corruption policy, and establish repeatable processes to administer each.
  • Manage equity plans, stock administration, including transition to public company systems and 10b5-1 plans.
  • Manage certain aspects of our international subsidiaries.
  • Build out labor & employment processes in several jurisdictions.
  • Manage outside counsel efficiently.

Skills & Qualifications

  • 8-15 years of combined law firm and in-house experience in corporate law, with at least some experience leading securities and governance functions.
  • In-house IPO support strongly preferred but not required.
  • Some experience in employment law strongly preferred but not required.
  • Strong ability to quickly learn other practice areas, and desire to work in lean team with a lot of exposure and scope.
  • Can-do attitude and strong work ethic; no task is beneath you and no problem is unsolvable. Ability to operate unsupervised with attention to detail.
  • Juris Doctor (J.D.) and bar admission required (California preferred).
