We are looking for an exceptional attorney to join our corporate legal team, as Associate General Counsel, Coinbase Ventures. You will lead all legal aspects of Coinbase Ventures, including transactions, fund formation/administration, and programmatic management.

Coinbase Ventures was founded in early 2018 to advance crypto & Web3 by partnering with exceptional founders who share Coinbase’s mission of creating more economic freedom for the world. Averaging between 50 and 100 investments a quarter, it has been recognized as one of the most active corporate VCs in the world by deal count. Coinbase Ventures partners with founding teams at the earliest stages and throughout their journey. It invests across all categories within the cryptoeconomy, seeking to align ourselves with the best and brightest minds in the space. To date, it has invested in 300+ teams building everything from layer 1 protocols, Web3 infrastructure, centralized on-ramps, decentralized finance, NFTs, metaverse technologies, developer tooling, and more.

What you’ll be doing (ie. job duties):

Lead legal efforts for Coinbase Ventures on transactions and programmatic management for investments and portfolio companies across the globe
Lead legal efforts on fund formation and ongoing administration, including structuring of critical infrastructure for Coinbase Ventures
Managing a portfolio of 300+ projects/companies, including acquisitions, IPOs and other corporate activity
Manage one or more other Corporate Legal team members as Coinbase Ventures scales, along with processes to allow for significant deal-flow
Driving continuous improvements, scalability and operational excellence in deal processes, diligence and execution

What we look for in you (ie. job requirements):

8+ years of corporate law experience, with particular focus on venture capital, including transactional work and fund formation/administration, including at a venture capital firm, publicly-traded company, and/or a top law firm
Expertise in all kinds of crypto VC investments, including SAFEs, SAFTs, SAFETs, Token Warrants, Token Purchase Agreements, OTC token purchases, equity financing deals with foreign companies, etc.
Experience building and leading world-class legal teams, with experience supervising lawyers and paralegals
Excellent interpersonal and communication skills, including ability to communicate information effectively internally and externally and to drive cross-functional alignment and action
Deep understanding of the Investment Advisers Act of 1940 and Investment Company Act of 1940
Must be active and in good standing in one State Bar in the United States, preferably in California or New York
Willingness to roll up sleeves (no job too big, no job too small)

Nice to haves:

Passion for the crypto industry.
Experience with regulated financial services firms.

Notice for Colorado applicants as required by sb19-085 (8-5-20). Target annual salary for this role performed in Colorado, is $245,225 + target bonus + target equity + benefits (including medical, dental, vision and 401(k)).
