IBM has officially completed its $6.4 billion acquisition of HashiCorp, a leading provider of multi-cloud infrastructure automation solutions. This move comes shortly after receiving clearance from both the U.S. Federal Trade Commission (FTC) and the UK's Competition and Markets Authority (CMA).

Initially announced in April 2024, the acquisition faced regulatory scrutiny, with the CMA launching a phase one review in August 2024. The CMA concluded its review on February 25, 2025, deciding not to refer the deal for an in-depth Phase 2 investigation, thereby allowing the merger to proceed. The FTC had also quietly approved the transaction prior to the CMA's decision.

HashiCorp, renowned for its infrastructure-as-code tool Terraform, transitioned from an open-source to a proprietary license in 2023. This change likely increased its appeal as an acquisition target, offering potential buyers greater control over its utilization in the industry.

Rob Thomas, IBM's Senior Vice President of Software and Chief Commercial Officer, stated, "Organizations globally are looking to deploy modern, hybrid cloud-ready apps, which require automated cloud infrastructure at significant scale. With this acquisition, IBM is committed to continuing to invest in and grow the HashiCorp capabilities, and together, with HashiCorp's leading technology and extensive developer community, IBM's global reach and R&D resources, our aim is to infuse HashiCorp technology in every data center."

This acquisition aligns with IBM's strategic focus on hybrid cloud and AI technologies. The integration of HashiCorp's suite of products is expected to drive synergies across multiple growth areas for IBM, including Red Hat, watsonx, data security, IT automation, and consulting services.

In addition to the HashiCorp acquisition, IBM recently announced plans to acquire DataStax, a company specializing in NoSQL databases and AI-driven data solutions. This move aims to enhance IBM's capabilities in managing unstructured data and supporting AI applications, further solidifying its position in the hybrid cloud and AI markets.

With the completion of the HashiCorp acquisition and the impending DataStax deal, IBM continues to expand its portfolio, offering comprehensive solutions to meet the evolving needs of enterprises in the digital era.
