Kristen Prohl brings over two decades of progressively responsible corporate counsel experience to Unisys. Her specialties include Securities Compliance, Market Listing Requirements, Corporate Governance, M&A/Spin-Offs, Corporate Contracts, Board Reporting/Documentation, Debt Restructurings, Capital Markets Transactions, FCPA/Sanctions Regulations, Tax Transactions, and Strategic Planning/Guidance.
Prohl's career has been marked by significant achievements and leadership roles. Before joining Unisys, she served as Vice President, Deputy General Counsel, Chief Compliance Officer, and Corporate Secretary at ITT Inc. for over two years. Her previous positions include Associate General Counsel at AIG, Senior Vice President at CA Technologies, and various roles at Starwood Hotels & Resorts Worldwide, Inc., where she played a vital part in the $13.6B acquisition of Starwood by Marriott International. Her legal expertise extends to managing securities compliance, overseeing corporate subsidiaries, designing regulatory compliance programs, and providing legal support for M&A and strategic transactions.
Her educational background includes a Doctor of Law (J.D.) and a Bachelor of Arts (B.A.) in English Literature from the University of Virginia. She began her legal career as a Trial Clerk for the United States Tax Court and later worked as a corporate law associate at Proskauer Rose L.L.P.
