About the Role:
A top-tier asset manager is seeking an Investment Management Attorney to provide legal and regulatory support for its institutional asset management business. This role will work closely with investment teams, compliance, and senior leadership, offering exposure to a broad range of investment strategies and fund structures.
Key Responsibilities:
- Structuring, forming, and advising on private funds, including open-ended, closed-end, and funds-of-one
- Negotiating investment advisory agreements for institutional separate account clients
- Advising on product structuring, development, and distribution in the U.S. and internationally
- Drafting and negotiating agreements with service providers and counterparties
- Reviewing RFPs, client questionnaires, and marketing materials
- Advising on securities and loan trading issues
- Collaborating with global legal and compliance teams
- Managing outside counsel as needed
What They're Looking For:
- JD and New York Bar admission
- 3-5 years of experience at a large law firm
- Strong working knowledge of the Investment Advisers Act of 1940, Investment Company Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, and familiarity with ERISA
- Ability to multi-task, prioritize effectively, and communicate with senior management
- Resourceful and independent, able to handle shifting priorities and deadlines
