Job Description

UL Solutions is looking for a practical, experienced, and well-rounded Legal Contract Administrator/Paralegal to support contract reviews and negotiations for customer software and software services transactions, including data processing agreements.  

The successful applicant will report to the Associate General Counsel (or similar) in Northbrook, Illinois.  However, we are flexible as to which UL Solutions office you work from, and will also consider candidates in other areas, such as Austin, Nashville, or Raleigh.  We have a hybrid work arrangement which requires you to be on-site (3) days a week. 

Responsibilities

  • Leverages technology (e.g., contract lifecycle management platform) to maximize effectiveness and efficiency of the contracts record management, review, and approval process.
  • Catalogs and archives various agreements in a contract lifecycle management platform.
  • Serves as a primary point of contact for commercial contract negotiations and inquiries and assists attorneys with commercial contract review and negotiation.
  • Drafts, reviews, and negotiates contracts, under attorney supervision, with a particular focus on intellectual property, software licensing agreements, privacy and security-related issues, and HIPAA business associate agreements.
  • Liaisons closely and effectively with internal business units and functions, including data privacy and cybersecurity on contractual matters.
  • Keeps abreast of legislative changes that may affect the company and its affiliates.
  • Performs periodic review of contracts, making recommendations to improve and harmonize terms or conditions.
  • Trains personnel on contract content and negotiation process, as needed.
  • Manages process to provide periodic reporting on contract performance.
  • Reads and follows the UL Solutions Standards of Business Conduct and follows physical and digital security practices.
  • Performs other duties as directed.

Qualifications

  • Bachelor's degree plus a minimum of (3) years' experience handling complex contract negotiations.
  • Experience with data protection and data security agreements and privacy laws and regulations including GDPR, CPRA and various state laws.  IAPP credentials are a plus.
  • Strong experience in negotiating contractual agreements, particularly license agreements and/or software agreements under short deadlines.
  • Ability to learn on the job, spot issues, thinks quickly, and comfortably deals with complex and ambiguous issues with sound judgement.
  • Good organizational and project management expertise.
  • Good interpersonal and communication skills.
  • Proficient user of Microsoft applications (Word, Excel, PowerPoint, Access).
  • Ability to meet deadlines
  • Good sense of humor 

Total Rewards: We understand compensation is an important factor as you consider the next step in your career. The estimated salary range for this position is $54,000 to $80,000 and is based on multiple factors, including job-related knowledge/skills, experience, geographical location, as well as other factors. This position is eligible for annual bonus compensation with a target payout of 5% of the base salary. This position also provides health benefits such as medical, dental and vision; wellness benefits such as mental and financial health; and retirement savings (401K) commensurate with the standard rewards offered in each individual location or country. We also provide full-time employees with paid time off including vacation (15 days), holiday including floating holidays (12 days) and sick time off (72 hours).
