QUALIFICATIONSJuris Doctor, member in good standing of a US state bar3+ years of legal experience, ideally in corporate law, insurance, real estate, employment law, or a related fieldExperience drafting, reviewing, and negotiating contractsGood communication skills and a demonstrated ability to collaborate with people across a large and diverse organizationAs a department of one, a successful candidate will need to be self-motivated, organized, and have an entrepreneurial spiritExperience with the following is not required, but a plus: corporate governance, project management, ESOPs (Employee Stock Ownership Plans), captive insurance RESPONSIBILITIES:Contracts: Draft contracts, review contracts, and manage the company’s contract storage and retrieval system, which initially includes selecting and implementing a digital contract management system. This includes customer contracts, vendor contracts, leases, plan documents, insurance policies, and more.Cross-Functional Collaboration: Work closely with HR, finance, operations, and external consultants to align legal, business, and operational goals.Corporate Governance: Support the corporate function, including the board of directors, board of trustees for the company’s benefit plans, and more. Maintain the bylaws, articles of incorporation, minutes of meetings, stock ledgers, and corporate policies for the parent company and all subsidiaries, foreign and domestic.Risk Management: Identify legal risks related to company operations, projects, and contracts. Advise senior management on risk mitigation strategies and ensure legal safeguards are in place to manage exposure. Work with other members of the management team to grow our captive insurance subsidiary.Plan Administration: Together with others in the company, and outside professionals, administer benefit plans, including the ESOP, the 401(k), health plan, and any other employee benefits and investment plans. Ensure compliance with regulatory obligations and assist in the proper management of these plans.Project Management: Serve as project lead for building initiatives and multi-year capital expenditure projects. Collaborate with operations, finance, and external vendors to ensure projects are legally sound, compliant with regulations, and meet company objectives including deadlines and budgets.Compliance: Provide ongoing legal counsel on regulatory and compliance issues across its operations.Permitting: Oversee the permitting process for projects and compliance with all local, state, and federal regulations. Work with external stakeholders to secure necessary permits and approvals.Cross-Functional Collaboration: Work closely with HR, finance, operations, and external consultants to align legal, business, and operational goals.Trustee Responsibilities: Support the administration and fiduciary duties associated with the company's ESOP, provide ongoing legal counsel on regulatory and compliance issues with ERISA and other relevant regulations.Acquisitions: Lead, co-lead, or participate in the evaluation of potential acquisitions when opportunities become available.Other: As this is an evolving in house position, the duties and responsibilities will evolve over time and with the onboarding plan.
